    Having spent over a decade in the legal industry, handling diverse areas such as contract management, litigation and arbitration, trademarks, and legal advisory, what drew you toward in-house roles instead of pursuing a traditional litigation career?

    Over the years, I found myself more inclined toward roles where legal expertise is closely integrated with business strategy. While litigation offers its own challenges, I was drawn to in-house positions because they allow for ongoing engagement with the business, where legal input can shape decisions early and support long-term objectives. What appealed to me most was the breadth of exposure from contracts and disputes to intellectual property along with the ability to work cross-functionally. I’ve always enjoyed being a trusted advisor, not just resolving issues but helping prevent them through practical, forward-looking counsel. In-house legal work gave me the platform to apply the law in a commercially meaningful way, contribute to enterprise-wide goals, and build deeper relationships across the organization. That level of involvement and impact is what truly motivates me.

    Could you share a bit about your law school journey? What inspired you to pursue a career in law, and how did your LL.M. in Corporate & Financial Law shape your legal perspective and contribute to your long-term growth?

    My journey through law school was both intellectually stimulating and personally grounding—it confirmed that law was the right path for me. I was drawn to the clarity and structure that legal thinking brings, especially in navigating complex business scenarios. Early on, I realized I wanted to work at the intersection of law and commerce, where legal insight directly influences strategic decisions.

    What led me to pursue an LL.M. in Corporate & Financial Law from O.P. Jindal Global University (OPJGU) was a desire to deepen my expertise in areas that shape how businesses operate—corporate governance, M&A, financial regulation and cross-border transactions. The program not only sharpened my technical knowledge but also gave me a broader, international outlook, which has been essential in working with diverse industries and stakeholders. This academic grounding has played a pivotal role in my in-house journey. It equipped me to approach legal challenges with a commercial mindset, engage confidently with leadership, and contribute to sustainable, compliant business growth. OPJGU was established as a philanthropic initiative of its Founding Chancellor, Mr. Naveen Jindal, and I am truly indebted to him for establishing a world class university in India which has shaped the future of thousands of students globally including helping me in becoming a successful in-house counsel and working for giants like JSPL, BPCL, ReNew and GMR.

    You began your career with an in-house role, a path not many young professionals take right away. What early experiences or challenges helped build your legal foundation and shape your approach to corporate practice?

    Starting my legal career in an in-house role gave me a unique head start as it allowed me to understand the commercial realities of legal work from day one. Rather than focusing solely on theory or litigation procedure, I was immediately immersed in how legal decisions impact daily business operations and long-term strategy. One of the earliest challenges I faced was learning to tailor legal advice in a way that was both accurate and actionable for non-legal stakeholders. It pushed me to think beyond just identifying issues. I had to propose workable solutions that aligned with the company’s goals and risk appetite. Those early responsibilities, whether it was reviewing contracts, supporting compliance efforts, or advising internal teams, taught me to be responsive, business-minded, and pragmatic. They laid the groundwork for the way I practice today with a clear focus on enabling the business while managing legal risk thoughtfully.

    Over the years, you’ve held in-house roles across various organizations. How has each experience contributed to your legal and leadership development, and in what ways do these roles continue to influence your current position?

    Every in-house role I’ve taken on has added a different layer to my legal and leadership journey. Working across varied sectors and organizations has helped me develop a broad perspective and a flexible approach to handling legal challenges. It’s taught me to quickly understand business priorities and align legal strategies accordingly. Along the way, I’ve learned to navigate cross-functional dynamics, manage stakeholder expectations, and lead initiatives that have both legal and commercial impact. These collective experiences continue to influence how I work today; whether it’s offering practical, business-oriented legal advice, leading teams, or mentoring junior colleagues. They’ve shaped me into a legal professional who’s not just reactive, but someone who adds value proactively across the business.

    At GMR, you manage end-to-end contracts for the entire non-aero business across India. What are some of the recurring challenges you face during contract negotiations in this sector, and how do you typically address them?

    Working in the non-aero space at GMR Airports, one of the recurring challenges during contract negotiations is managing the varied expectations of diverse stakeholders from retail and F&B partners to service providers while staying within a strict regulatory framework. Each agreement involves a careful balance between commercial viability, operational flexibility, and legal compliance. Negotiations often involve complex revenue-sharing models and long-term commitments, which require clarity around deliverables, risk allocation, and exit rights. It can also be challenging to tailor terms that satisfy business teams yet remain aligned with airport concession requirements and regulatory obligations. To navigate this, I intend to focus on building structured, practical agreements with well-defined roles and responsibilities. I work closely with the internal teams to ensure business goals are captured clearly, while also ensuring the contract holds up to legal and compliance standards.

    What are the key legal complexities you encounter during due diligence in airport-sector transactions, especially when working with international investors or structuring joint ventures?

    In my opinion, due diligence in the airport sector, particularly when dealing with global investors or joint ventures, is layered and complex due to the regulated nature of airport operations and the involvement of public authorities. The first area of scrutiny is usually the concession agreement where we assess whether rights can be transferred, what limitations exist, and whether any government approvals could delay or derail the transaction. Issues like land tenure, encumbrances, and use restrictions are also critical, especially since many airport projects are developed on leased government land or under public-private partnership models. These factors often carry legal and operational risks that must be identified early. When foreign investors are involved, we also have to navigate FDI regulations, security clearance requirements, and ensure the investment structure complies with both aviation sector guidelines and company law. In joint venture setups, we focus on clarity around governance, economic rights, dispute resolution, and exit options, which can get intricate in a sector with long concession cycles. To address all this, we ensure to carry out detailed legal risk mapping, engage with stakeholders to understand regulatory expectations, and build robust representations and warranties into the deal documents. This helps ensure transparency and long-term sustainability for all parties involved.

    What advice would you offer to young legal professionals aiming to build a career in corporate law or enter in-house roles early on? Are there particular skills or experiences you believe they should focus on?

    For those starting out in corporate law or looking to join an in-house team early in their careers, I’d recommend focusing on building a well-rounded foundation not just in legal knowledge, but also in understanding how businesses function. Getting comfortable with contracts, compliance, and risk assessment early on will give you a strong advantage. It’s equally important to develop clear and concise communication skills, because in-house lawyers often act as bridges between legal and non-legal teams. I’d also advise young professionals to prioritize adaptability and commercial thinking and the ability to align legal advice with business goals is key in any corporate role. Real-world exposure, even through internships or secondments, can be more valuable than purely academic achievements. Lastly, find mentors, ask questions, and stay engaged with both legal and business trends. The more proactive and curious you are, the faster you’ll grow into a trusted advisor.

    What guiding principle has stayed with you throughout your career, and how does it shape your professional outlook today? What is your vision for the future, both personally and for the legal profession?

    The principle that has guided me from the beginning is: “Blend legal precision with business pragmatism.” This approach has helped me stay grounded in legal integrity while ensuring my advice adds real value to the business. It’s about being a protector of the organization’s interests, but also a facilitator of its goals. Even today, I focus on being solution-oriented and commercially aligned, especially in high-stakes or cross-functional matters. I believe that legal professionals should be trusted not just for their knowledge, but for their ability to guide outcomes and build confidence. In the future, I see myself stepping further into leadership and mentorship roles, using my experience to support both the organization and younger legal talent. As for the profession, I envision a shift toward more agile, tech-savvy legal teams, i.e. the ones that integrate deeply with business strategy and act as co-creators of value, not just risk managers.

    You’ve had an impressive journey-from top-tier law firms to leading legal roles in global MNCs. How has your professional experience shaped your approach to legal advisory today?

    Thanks. My career, as a corporate and commercial lawyer, has spanned over twenty years across law firm and in-house roles, and each stage has played a significant part in guiding my approach to proactive and business-centric legal support. 

    I started my professional journey in 2004 at AZB & Partners (“AZB”), New Delhi. I was involved in complex transactional work, including advising on matters pertaining to FDI, joint ventures, M&A, software licensing, and general corporate advisory. In 2010, while in AZB, I had an opportunity to do a secondment with Boeing International Corporation India Private Limited for a year, where I got my first exposure to an in-house legal environment. It was a transformative phase that helped me understand how legal advice fits within broader business objectives, something not always visible from a pure law firm perspective.

    This early insight laid the foundation for what became the most defining part of my career at Bentley Systems India Private Limited, a USA- based software MNC (“Bentley Systems”). At Bentley Systems, I served as Legal Counsel for almost twelve and a half years, across Asia South, and later expanded my remit across the South-East Asia region. 

    My primary responsibilities included managing a wide spectrum of responsibilities, including contract management and negotiation, software licensing, regulatory compliance, employment law matters, corporate leasing, contractual and commercial risk identification, and mitigation. This role further refined my ability to deliver practical, business-focused legal solutions across borders and industry contexts in an in-house legal environment. This role further deepened my appreciation for the unique challenges that businesses face. 

    Over time, I came to see how legal support, when truly embedded in the business, could shift from being a reactive function to a proactive enabler of growth, innovation, and risk resilience. not just in navigating legal risks I began to see how legal issues were rarely isolated as they were often intertwined with operational realities, commercial strategy, and internal culture. This further broadened my understanding of how legal support must evolve- not just to protect the business, but also to empower it.

    What inspired you to start Bridge Counsels? 

    Working in both top-tier law firms and as in-house counsel gave me a deep insight into how legal services function at both ends of the spectrum. On one hand, I experienced the deep technical expertise and structured advisory of law firms while on the other hand, I saw the need for legal support to be responsive, integrated, and aligned with business realities, especially in fast-moving environments. 

    What stood out to me over the years was a significant gap in the market, particularly among startups, MSMEs, and even in growth-stage companies, which often lacked access to quality legal advice because they didn’t have the scale or budget to maintain a full-fledged in-house legal team. Yet their need for ongoing, dedicated legal support was no less critical. 

    I firmly believe that founders should invest their time and energy in the growth of their respective business and leave the legal, commercial and corporate matters to experienced experts. This realization led me to launch Bridge Counsels which is designed to provide Fractional General Counsel (“Fractional GC”) as a service 

    My focus at Bridge Counsels is to serve as a legal partner offering structured, proactive, and business-focused legal support tailored to each client’s scale and stage of growth. Therefore, at Bridge Counsels, my aim is to bridge the gap between the high-touch, strategic insight of an in-house legal team and the flexibility of an external counsel. The name Bridge Counsels reflects this philosophy, bridging business needs with legal clarity. 

    How do you define the role of a Fractional general counsel, and how does this model differ from having an in-house legal team or relying solely on traditional law firms?

    The role of a Fractional GC is to provide continuous and strategic legal engagement to businesses as their de facto Head of Legal or General Counsel, delivering end-to-end legal support on a flexible, outsourced basis. This setup would help businesses, especially startups or growing companies, to get expert legal support without hiring a full-time employee. 

    A Fractional GC can offer companies, often startups or small businesses or foreign multinational companies proposing to enter India, the opportunity to work with experienced former in-house lawyers without incurring the cost of a full-time general counsel, helping them manage their daily legal needs and make informed strategic decisions. 

    Unlike in-house counsel who works full-time for a single company, Fractional GCs can support multiple clients while acting as trusted, long-term advisors. They are more integrated into the company’s daily operations, unlike traditional law firms, often participating in strategic planning and internal meetings. This model suits businesses that want consistent legal guidance tailored to their evolving needs, without the need to form a full legal department. 

    A Fractional GC not only provides strategic legal support but also acts as a bridge between the company and external legal service providers such as law firms, consultants, and specialists. They help control legal costs, identify the right external resources, and manage them efficiently. At its core, their role is to protect the company’s interests, ensure consistency in legal strategy, and make sure that external advisors align with the business’s goals and risk appetite.

    What type of companies would benefit most from hiring a Fractional GC, and at what stage in their journey is it most impactful to bring one on board?

    As stated above, startups and emerging enterprises typically benefit the most from hiring a Fractional GC. A Fractional GC can step into an early-stage business and provide high-level commercial advice to the board, especially when there is no established in-house legal leadership. They support key areas, including contracts, employment, data privacy, intellectual property, real estate transactions and regulatory compliance. 

    The most impactful time to bring in a Fractional GC is during key growth phases. This includes raising funds, expanding the team, entering new markets, or forming significant partnerships. At these stages, decisions carry a higher legal risk, and it becomes crucial to have someone who understands the business and can provide strategic guidance. 

    While a Fractional GC is often associated with small and medium-sized enterprises, this model is not limited to early-stage companies. Businesses at any stage of growth can benefit from this flexible legal support. Large-scale enterprises may also use a Fractional GC for urgent, short-term projects that need experienced oversight. Fractional GC can efficiently handle routine legal tasks such as drafting and reviewing contracts, updating internal policies, managing compliance calendars, supporting HR and employment matters, coordinating with external counsel, and maintaining legal templates. This allows lean in-house teams to focus on strategic priorities while ensuring day-to-day legal operations run smoothly and compliantly.

    As you build bridges, what are the kinds of responsibilities and deliverables you envision handling as a Fractional GC on a recurring basis? How are you preparing to meet those needs from day one?

    As a Fractional GC, I am expected to handle a range of responsibilities that align legal strategy with business goals. This includes managing risk proactively before it becomes an issue, supporting contract negotiations, ensuring regulatory compliance, and helping with corporate governance. I also aim to develop legal frameworks that support growth, guide internal teams, and collaborate closely with leadership to make informed, legally sound decisions that move the company forward.

    I would prepare myself by deeply understanding the company’s industry, operations, and goals. My primary goal is to be agile, responsive, and business-minded, delivering practical legal advice that aligns with long-term strategy.

    As you engage with fast-scaling startups and growth-stage businesses, how do you plan to help them navigate legal risks and regulatory compliance, especially when they operate across sectors or jurisdictions?

    When working with fast-growing startups or businesses across sectors, my focus is on offering practical legal guidance that aligns with their pace and growth. I begin by understanding the business model and key regulatory touchpoints, whether in contracts, data privacy, employment, or fundraising. From there, I help build simple, workable systems such as basic compliance processes or policy inputs that support sound decision-making. The aim is to be a steady legal partner, offering clarity and foresight as companies scale and navigate legal challenges. Confidence, knowing they are protected and compliant at every step.

    In a Fractional GC model where you’re not embedded full-time, how do you plan to ensure deep alignment, continuity, and confidentiality with leadership teams? 

    That’s a great question and one I take very seriously. My aim would always be to stay closely connected with founders or businesses through regular interactions and be available when needed. The goal is to be seen not as an outsider, but as a trusted legal partner who understands the business and supports it with consistency and confidentiality.

    Startups often move fast. Can a Fractional GC really make a difference during key moments like fundraising, investor negotiations, or M&A? Could you share an example 

    In India, startups often face complex legal challenges during key growth phases such as raising funds, expanding teams, entering new jurisdictions, or finalizing strategic partnerships. These challenges include navigating investor negotiations, managing ESOPs, ensuring regulatory compliance, and reviewing commercial contracts. A Fractional GC brings senior legal oversight without the cost of a full-time hire, making it ideal not just for early-stage companies but also for growing businesses that need structured legal support without expanding their in-house teams. Established enterprises also use Fractional GCs services for short-term or high-stakes projects requiring experienced legal direction.

    What should founders or CXOs look for when choosing a Fractional GC beyond just credentials? What soft skills and instincts make a real difference?

    Beyond credentials, founders should look for a Fractional GC who’s practical, business-minded, and easy to talk to, someone who can offer clear advice without legal jargon. They should have the judgment to say “no” when it matters, to protect the company’s interests. Identifying legal risks early, communicating them to leadership, and striking the right balance between legal protection and business growth are key. A good GC doesn’t slow things down; they help you grow smartly and safely.

    You’ve also built internship and mentorship opportunities at Bridge Counsels. What role do young lawyers and law students play in your model and what advice would you offer them as they enter the evolving legal profession?

    In the Fractional GC model, young lawyers and law students support senior counsel across multiple clients by assisting with contract drafting, compliance research, and legal operations. They gain exposure to varied industries and fast-paced legal issues, learning how to align legal advice with business strategy. Unlike traditional roles with narrowly defined tasks, this model provides a broader, more strategic perspective on how law drives growth. They actively contribute rather than merely observe and build the skills to become future legal advisors with strong commercial judgment and cross-sector experience. It’s a dynamic environment that prepares them to think like trusted advisors rather than technical legal executors. They aren’t passive participants as they engage meaningfully while developing the capabilities needed to grow into future in-house leaders or strategic legal partners.

    As you enter the evolving legal profession, my advice is to stay curious and open to learning. Today’s legal landscape demands not only strong legal knowledge but also a deep understanding of business. Focus on sharpening your research, writing, and communication skills while also learning to think commercially and practically. Always ask questions, take initiative, and seek feedback. Don’t aim to know the law; strive to understand how it applies to real-world decisions. Most importantly, be adaptable, because those who grow with change will be the ones who lead it.

    Could you share the pivotal moments and personal motivations that inspired your journey into the field of law, and how did you navigate the initial challenges and struggles as you embarked on your career?  

    My father is an advocate on record practicing in the Supreme court of India. So, most people naturally assume that is the reason why I chose law. While my father is my personal motivation however, there is quite a bit of story behind why I chose law as my career. I was in grade 5 in school when I first visited the Supreme Court with my dad during my winter vacation. The Court was also closed and there were very few visiting lawyers in the court premises. I was in the cafeteria, when a couple of lawyers approached me and my dad, probably they were curious about seeing a 10-year-old kid in the court premises. They started having a conversion and asked the cliché question, what I want to become in the future. I recollect mentioning wanting to become a scientist and they suddenly asked me, “Why don’t you become a judge”. I said okay and they said, “ promise us that one day you will become a judge of the supreme court”. The young me just went with the flow and promised them. But from that day onwards, I was clear that I wanted to pursue my career in the legal field. Even though later, I decided to take a different path and steer towards corporate practice. Nonetheless, I don’t regret the decision till date.

    I guess, the fact that I was determined to be a lawyer and that I wanted to become a corporate lawyer has made it easier for me to focus; the academic faculty at my university, notably Dr. Mamta Biswal, also helped me crystallize my decision to become a corporate lawyer. Our Commerce professor, Mr. Satya Ranjan Mishra encouraged me to pursue the Company Secretary course during my LLB, which helped me in gaining extra learning experience in the subject. While at university, acquiring an internship opportunity was quite stressful and I ended up getting rejected twice by Amarchand for the internship. However, perseverance and proper guidance from my seniors in the University helped me land a job with Shardul Amarchand Mangaldas & Co. (Erstwhile Amarchand Mangaldas Suresh Shroff & Co.)  during the campus placement.

    Given your diverse experience in both India and the UAE, how do you navigate the legal nuances and cultural differences in your practice, and how do you stay updated with the latest legal developments and industry trends to integrate these insights into your work?  

    I am indeed grateful to have worked in such diverse legal landscapes.  In India, working with Shardul Amarchand Mangaldas under the leadership of Mr. Inder Mohan Singh was a great learning experience. I remember when I joined the firm in 2013, the new companies’ law had just been enforced and our team was primarily working on dissecting the law, making submissions on the lacunas and shortfalls to the ministry as well as other organizations like FICCI. I am really thankful to my mentors, Mr. Aayush Kapoor and Mr. Harish Kumar, who moulded me as a lawyer and became a role model for me. In UAE, I work with M&Co Legal, which is a DIFC-registered law firm run by Emirati lawyers. The legal landscape of both India and UAE is completely different, as you may know, UAE is primarily a civil law country and has two common law jurisdictions in free zones (Dubai International Financial Center and Abu Dhabi Global Market). The transition from India to unlearn and learn civil laws in UAE was challenging in the beginning, especially, trying to understand the legal systems in place.  However, the partners and the colleagues at M&Co. Legal were quite helpful during this transition phase, and additionally, the training that I had received at Shardul Amarchand Mangaldas, also helped me to quickly complete the learning phase. Since I am working at a local law firm with a very niche clientele, it naturally assisted me in my understanding of not only the local culture, but also provided exposure in interacting with as well as dealing with clients and peers from different nationalities. The peculiarity of working in UAE (or rather interesting part) is that you get to work under both Civil and Common law jurisdiction, and I have thoroughly enjoyed maneuvering through both these jurisdictions simultaneously.  Both India and UAE have fast-changing economic and legal terrain, and I continue to keep myself abreast with the changing legal dynamics, as this is pertinent to provide plausible legal solutions to the client. I normally do that by following media (through news and professional social media platforms), from newsletters released by legal knowledge platforms, and keep a look-out for any important changes by setting a Google alert on the pertinent topics.

    Your profile mentions your involvement in drafting insider trading codes and handling related investigations. What insights have you gained from such regulatory experiences, and how do they inform your approach to compliance?

    During my tenure in India, drafting insider trading codes and especially handling related-investigations from regulatory authorities in India like SEBI was an interesting opportunity. The experience from dealing with insider trading investigations gave an insight to the regulators point-of-view as well as stance on the points and identify the key areas of focus. This experience in turn guided me while drafting such insider trading codes for the listed entities to ensure the key focus areas, and to effectively deal with the challenges as well as provide proper guidance on these matters to the client. Such matters are extremely delicate and there is a fine-line when it comes to becoming non-compliant, hence, it was important to lay down a proper strategy to ensure effective mechanism to deal with the price-sensitive information with the top management and employees of the organization.

    It is also interesting to mention that in UAE, as well, I have dealt with various investigations issued by the Ministry of Economy related to the breach of DNFBP (Designated Non-Financial Business or Profession) obligations and breach of licensing conditions raised by Abu Dhabi Financial Services Regulatory Authority. All these experiences with the regulators teach you to think from a different angle while approaching a matter, and helps you to visualize everything from a macroscopic level as well as gives you guidance to navigate through the regulatory requirements.

    With your expertise in employment laws, what advice would you offer to companies navigating labor-related challenges, especially in cross-border transactions?  

    During my practice in India, employment used to be one of the crucial areas of concern during the M&A deals, and the matter considering the impact on the livelihood of people had to be dealt with caution and delicately. UAE is a labour friendly country and the employment laws strike a balance between the Employers requirements and Employees rights. I would personally like to advise the companies in UAE to specifically be aware of the local employment laws and to understand that the common law free zones (ADGM & DIFC) have a separate employment law. It is important that the terms of employment are carefully drafted to ensure compliance with the local laws. I would specifically recommend the corporates to have an employee handbook to note down the various employment policies while dealing with matters such as disciplinary actions, internal grievance redressal, employee policies tailor-made to the specific industry and educate the employees about these policies.

    In relation to cross-border transactions, the areas of transfer of employees and secondment needs to be tackled carefully. Employees in international companies with offices in UAE are normally subjected to the group policies wherever applicable, however, it is to be noted that notwithstanding the group policies and benefits available to the employee, such that an employee in UAE will be receiving the necessary benefits and protection mandated by the local laws. Hence, it is important to reconcile these policies to include the local labour laws and the emoluments accordingly.

    In your opinion, how can the legal profession leverage technology and innovation to enhance efficiency and client service while maintaining confidentiality and security?  

    The advent of digital technologies is positively impacting the legal profession as well. At the moment, I don’t believe that AI can take over a lawyer’s job, however, I firmly agree that it can increase the efficiency in doing the job. Legal tech can eliminate the mundane routine tasks and save the time of the lawyers in focusing on the core legal areas. This will in turn ensure faster delivery of tasks and ensure economic efficiency for the clients by reducing the additional billable hours payable by them. Another area where legal tech can help lawyers is in data entry and research. Even though legal tech ensures efficiency, lawyers have to be responsible enough not to use free and public AI platforms to provide inputs on confidential information. It is always key to ensure that only secured legal tech platforms are used to avoid data leakage and breach.

    What motivated you to move your career to Dubai, and how has this transition influenced your professional growth and perspective on corporate law?  

    My career-move to Dubai was purely due to personal reasons and was not a calculated move from my end. However, I am thankful that it happened as UAE was truly resilient to the challenges during the covid times, and post-covid, the country has seen an economic upward trend. UAE is now increasingly becoming the hub not only for all the international businesses but also for the high-net-worth individuals from various parts of the world. Obviously with the increase in business activities in the country, the legal requirements also follow. Being in UAE and working with M&Co Legal has provided a vast exposure to me to develop my personal and professional growth. Being part of a small yet niche corporate team has expanded my horizon in practicing various aspects of the corporate laws and in various industries. This has helped me understand the business and regulatory requirements for various sectors such as F&B Industry, real estate among others.

    As a legal influencer recognized by Lexology, what advice would you offer to aspiring lawyers seeking to establish their presence in the legal community? 

    I would advice aspiring lawyers to carefully understand the law. “ The devil lies in the detail” is especially true in our legal profession. I understand that nowadays everything is available on AI and legal tech platforms, however, it is important not to blindly rely on it for research without reading the underlying law itself. While I am not against using AI, it is important to use these platforms as a reference and not base the entire work on it without using your own analytical skills. You leave a mark in the legal profession and on your client by using your analytical as well as problem-solving skills.

    The acquisition of Al Huraiz Packaging Industry LLC by Hotpack Packaging Industries LLC was a significant deal. What were the most complex aspects of this transaction, and how did you navigate them?  

    We represented the Seller, AL Huraiz Packaging Industry, which is a local Emirati Company involved in manufacturing packaging materials. The deal was a 100% shareholding acquisition by the major packaging company, Hotpack Packaging Industries LLC.  The transaction, considering 100% shareholder takeover included transferring the factory unit and other equipment to the new shareholder. Additionally, there was debt restructuring as part of the transaction; the aspect of regulatory approval and debt restructuring was the challenging part of the deal. However, the negotiations based on good-faith between the parties and legal representatives assisted in finding the appropriate resolution for the concerns.

    When advising on mergers and acquisitions, what key factors do you consider to ensure the transaction is legally sound and beneficial for your clients? 

    Fact-finding by way of due diligence (either legal or financial due diligence) is the most important part of ensuring whether the deal is legally plausible. Additionally,  it is commonly believed that the lawyers should not interfere with the commercial aspect of the transaction. However, I would opine otherwise; since commercial considerations have major legal impact, it is crucial that lawyers carefully review the commercial understanding and advice the client as well as provide any alternative solution for the client.

    Outside of your professional work, what hobbies or personal interests do you pursue, and how do they influence your approach to your legal practice?  

    I love travelling! I know it’s a cliché statement, but I consider myself a “traveller instead of tourist” while exploring a new place. My research skills are utilized prior to and while travelling, especially planning the travel. I plan the itinerary down to every intricate detail. I ensure I understand the local culture, interact with local people, and try out the local cuisine. I use travelling not only to unwind from my daily routine, but also the things I learn my travel helps me understand different people, including my clients and peers. I truly believe that to become a successful corporate lawyer and leader to your team, you not only need technical expertise but also need to have interpersonal as well as people-management skills.
