    Shweta Bharti graduated in law from the Faculty of Law, University of Delhi, in 2002. She then went to Harvard Business School to pursue the Executive Education Programme. Shweta is currently Senior Partner at Hammurabi & Solomon and possesses experience of close to fifteen years in dealing with litigation and dispute resolution.

    How would you like to introduce yourself to our readers?

    A learner of law with an insatiable hunger to learn and excel and give my heart, soul and energy to all the matters that are being dealt with by our firm. I have been trained as a litigator and have handled crucial legal battles on behalf of clients based out of India and abroad. Being a first generation lawyer and having been thrown into an ocean of opportunities, I have learnt to swim against the tide and have thoroughly enjoyed the journey so far.

    What are your areas of specialisation and how did you go about choosing these fields?

    My interest in law developed while doing my B. Com (H) from Indraprastha College for Women, Delhi University, where I got exposed to certain areas of law, viz. Contract Act, Companies Act and Income Tax Act. I found the subjects intriguing and decided to pursue law as a career option, and also decided to do my Masters in Business Administration (since I was already working as a Executive-Business Development). As luck would have it, I got married to a lawyer who not only encouraged me to complete my course but also advised to start working as a paralegal in order to learn the basics of law while studying the subject, which would enable me to have a better understanding of the applicability of certain laws. I thereafter left my job and devoted my time pursuing law. It was then that I decided to pursue litigation, idolizing my senior colleagues, looking at the manner in which they convinced the Judges and moulded the judgments in their favour. That inspired me to opt for litigation and since then the journey has been long and interesting.

    The passion for dispute resolution developed over a period of time after attending to a few matters which gave opportunity to analyse the subject in further detail. The informal set up of resolving critical disputes with arbitrators to pursue parties to resolve the disputes in an expeditious manner was the key to dispute resolution. However, over a period of time, it is also a fact that Dispute Resolution mechanisms were only used by scrupulous litigants to buy time. While domestic arbitrations have been a huge learning, the maximum learning came from the ICC Arbitrations where the Arbitrators are particular about timelines, precision and detailing of filing the paperbook and where the expeditiousness along with quality delivery is the key.

     

    How were the first few years after your graduation?

    The initial years after coming out of Law College were extremely challenging with exposure to various facets of law which were alien to my knowledge and curriculum. I was trained to understand law but the implementation of that understanding was something that was new and challenging. While law college taught me the nuances of law, the real training came from the years I spent as paralegal, where I was involved in critical matters and got to observe how the law was to be interpreted and presented before the Court of Law, also developed research and drafting skills which enabled me shape my career as Lawyer.

     

    How do you think your managerial education has helped in furthering your career in law?

    (Shweta has engaged in a fair bit of managerial studies, from reputed institutions like Harvard Business School.)

    Being a  lawyer in today’s time also requires strategic knowledge and expertise besides the legal skills. In this age of globalization, to have the combination of law and management can hugely enhance one’s career prospects. Also considering the demand for combination skills, it definitely has its perks to have a degree in both, law and management. While managing your law firm, the business skills are of utmost importance, though it is hugely undermined by law schools and colleges. We are prepared and trained to be lawyers, but we are not prepared to be managers. Being a Senior Partner of a law firm requires you to be a Manager having the ability to handle organizational challenges, which can be as varied as Human Resource Handling, Business Development, Finance and Billings and Recoveries, etc. The art of managing an organisation is not necessarily an inherent skill, and the same has to be developed over a period of time. The managerial education enabled me to acquire those abilities.

    In the earlier times, lawyers considered it below their dignity to seek/solicit work from clients and they believed that if you have the skill set, the clients shall walk up to you on their own. Further, if you notice, the pouch behind the lawyers’ gown was meant to put whatever fees the client deemed appropriate considering your arguments advanced before the Hon’ble Courts. However, as ways of conducting business changed, the culture of running multinational companies trickled down to law offices as well. Now lawyers are akin to entrepreneurs where they need to hone their organisational skills as well and if required hire specialists in their organisation to handle the various organisational facets. However even in such circumstances, it has become imperative to have the managerial knowledge in order to ensure achieving the desired results.

    What is the ideal time for a student who’s looking at pursuing an MBA after their legal education–right after law school, or after a few years of practice?

    It is best to pursue your MBA after a few years into practice of law, since it is only at a higher rung in the ladder that you are expected to deliver both your legal as well as the business/entrepreneurial skills. It is necessary to mention here that not all the lawyers have managerial skills, which is a completely different ball game. Also with the demand for in-house counsels rising, having a management degree gives you a competitive advantage. Many such in-house counsels are also now taking up the role as the CEOs of the companies.

     

    Are there institutes in the country that offer joint degrees in law and management?

    (With IIMs in India being harbours for IIT graduates and with a bare minimum legal crowd, their courses and entrances are also being structured for engineering students.)

    Presently there are only a few institutions offering LLB-MBA degree. NALSAR is one of the pioneers to offer a combination of law and business qualifications. NLU, Jodhpur offers an MBA (insurance), and is amongst the first ones in the country to offer the combination of business and law. There are a few universities offering BBA-LLB degree but still the offering is a far cry as compared to the present day need.

    Do you offer internships at Hammurabi & Solomon?

    We do offer internships at Hammurabi & Solomon and have had interns from various law schools. We also have a Fellowship Programme, where the final year students can engage themselves with the firm full time for a period of six months and upon their successful completion of thep rogramme, are inducted into the team as lawyers. They are paid a stipend during this period and I have personally found this Programme to be a win win for both the learners as well as the firm since we are able to understand the potential of a candidate while the learners get the opportunity to learn on the job the nuances of law and its practical application.

     

     

    What does a regular day look like for you?

    My average working day as Senior Partner requires me to fulfill both my roles, as a lawyer as well as manager efficiently while creating a balance between both the critical aspects. Any dereliction in either responsibility has its own downfall and thus creating the right equilibrium is the key to success. My daily working has its unique challenges and thus am compelled to set my priorities for the day straight early in the day. The targets are set and thereafter I get rolling with completing my assignments one after another. There are days of high adrenaline when the deadlines are super imposing and there are cheat days when I do get some time to read something interesting I have been postponing for a while. The day is a mix of team meetings, Court/Arbitration hearings, Client meetings and thereafter also handling the day to day administrative challenges related to Human Resources, Finance and Billings, Recoveries, Business Developments etc.

     

    What is your success mantra which has helped you balance your hectic professional life with your social life? 

    (Shweta is also a very active member at various international forums including the International Bar Association (IBA), Organization for Economic Co-Operation and Development (OECD), Inter-Pacific Bar Association (IPBA), Society of Indian law Firms (SILF), I-Tech Law, Legal & Tax Summit of Indian Power Producers Association of India (IPPAI) on Nuclear Liability Bill, International Academy of Law on Competition Law, International Indian Bar Association on new business laws of India to name a few. Shweta is also writing a contribution for a German Federal-News- Publisher –‘Bundesanzeiger verlag’ regarding the compliance laws in India. She is also acting as the External Female Member of the Complaint Committee formed by various organisations pursuant to the Vishakha Guidelines laid down by the Supreme Court of India, in order to put in place a grievance redressal mechanism against sexual harassment of women.)

    Our profession is extremely demanding and leaves very little room for any other engagements. However as we grow in the profession the ideologies with which we are brought up also demand satiation. That was the motivating factor to get engaged with causes related to societal impact including women empowerment. My understanding is that the real success is in making the lives of others better in whatever manner we can. As lawyers we have developed a skill which can be utilised to make the lives of those downtrodden women for whom law is unaffordable a little better by fighting for their rights. Our pro bono works have been much acclaimed and we aim at continuing our good work for the betterment of our society. The only mantra is hard work. There are no short cuts in this profession. The more hard work we put into the profession the better is the outcome. Also the hunger to excel is a huge driving force and keeps us striving for doing better. I am hugely inspired by the legal luminaries and reading through their biographies, I have noticed a common thread running through their successes and that is the attitude of giving back to society. All of us are duty bound to give back to society from which we gained so much. That is a huge motivation in itself and keeps me going through the tough and challenging times.

     

    What is your message to our readers?

    My message is short and crisp, endeavour to excel in whatever you do. Patience, perseverance and persistence always pays, and the only shortcut to success is hard work.

    Mr. Bhumesh Verma graduated from Delhi University in 1994. He was selected as a Chevening Scholar in 2000 by the UK government. During this scholarship, he studied at the College of Law at York and worked with Ashursts in London. Mr. Verma is currently a partner in the corporate and regulatory practice team of Link Legal India Law Services, New Delhi. He began his career at Ajay Bahl & Co. (now part of AZB & Partners) and went on to become a partner at Khaitan & Co and PKA Advocates before joining Link Legal. Mr. Verma has 22 years of experience in domestic as well as international corporate and commercial matters.

    How would you like to introduce yourself to our readers?

    I am a law student. Having spent some time in the profession with wonderful lawyers and clients, I may know a bit more about law and business than some young law students or lawyers, but that’s about it. In the legal profession, one is always learning and updating.

     

    What inspired you to take up law? 

    STEM disciplines have always been most popular among parents and even majority students. Being a school topper, I too was expected to pick up science. Maths was one of my favourite subjects. However, I had no interest in medicine, engineering or any other technical course. I picked up commerce and went on to pursue B.Com (Hons) from Delhi University. During my graduation, I got acquainted a bit with business laws.  It sounded interesting and challenging, so I thought pursuing law would be good option for me.

    I come from a humble, salaried class family. There was absolutely no one in my family, nor a friend in the legal profession (I don’t think even today is, besides me). My family never even knew a lawyer. To add to it, immediately after my graduation, I landed up a job as Accounts Executive with a good NBFC. So, all these circumstances were conspiring to drift me away. However, family being sure of my conviction and track record in studies till then, gave in.

     

    How would you contrast your time as an undergrad at Delhi University with your experience at College of Law, York, England?

    Campus Law Centre, Delhi University used to be among Asia’s top law schools in 1990s. Studying there was fun in those days. Even getting the admission makes it a funny story now. Ours was the first batch for which an entrance exam was introduced in Delhi University. We had absolutely no syllabus, no workbooks, no coaching classes, no preparation. Just appear in an entrance exam one Sunday morning and wait if you are in or not. This is how the first batch got in.

    The classes were held in typical old-school style – black board, chalk and talk. There were no computers or gadgets to help, no online searches available. We had to use the library a lot. Some smaller roadside help books called ‘Dukkis’ were also available and some students used it for last-minute cramming.

    College of Law at York was a different ball game altogether. Use of PPT, computers, interactive sessions, negotiation role-play, drafting skills workshops, interaction with local practicing lawyers, visits to Courts in London, Edinburgh and Employment Tribunal in Leeds to observe the actual atmosphere. It all made a big change in my understanding, perception and presentation skills.

    Although I was already working with foreign lawyers on international assignments before the scholarship, access to foreign educational institution, courts, foreign lawyers’ offices, working in a foreign law firm was a welcome experience. This gave me an insight about ‘where they are coming from’ and bridging the gap between what they expect and what Indian lawyers think they expect.

     

    What were you areas of interest during your legal education?

    I was always interested in Corporate laws so took up Business laws, labour laws and tax laws as my optional subjects. After joining Ajay Bahl & Co. (now part of AZB Partners) after passing out from college and working on FDI related transactions, incorporating companies, getting into secretarial, statutory, tax compliances etc., providing opinions on corporate law issues, drafting commercial contracts, etc. my conviction about my suitability for corporate practice strengthened. My supervising partners also saw value in my being part of the corporate practice vertical in their firm.

     

    What are the causes you feel strongly about? 

    I can only speak about the corporate laws perspective. Being transparent in all business deals, optimum compliance with law of the land and expeditious resolution of any issues arising out of non-compliance or otherwise are very close to my heart. Throughout my career, I have been advising clients to adhere to sound legal principles and not take recourse to “fixing”, “managing”, “manipulating” or brushing aside legal issues. As professionals, our stake in any matter is very minimal in terms of money, but immense in terms of reputation. Am proud that I have had the privilege of working with some of most reputed and ethical professionals in the country, who have been insistent on refusing a brief rather than compromising on principles. This is more important in case of foreign clients entering India. The laws pertaining to anti-corruption are more codified and enforceable outside India so we have to be doubly careful while advising foreign clients and not suggest short-cuts or unethical solutions.  

    Could you tell us about the internships you took up, and what you learnt from those experiences?

    Internships were not as structured in my college days as they are now. During my college days, I took up internships with litigation lawyers, learnt about of court practice, drafting, representation in the courts and so on. It helped me learning the basics from a grass root level. Since I had no relation or godfather in the profession, I had to work doubly hard.

     

    What advice would you give students in avoiding a decision paralysis? 

    On the contrary, I do not see much decision paralysis. In fact, I feel many students have pre-decided what area they wish to pursue even before joining a law school driven by the “packages” their senior friends or family members have got or the numbers they read in economic newspapers or some other sources.

    By the middle of your law course, majority of students are clear about what they wish to pursue. Litigation and corporate practices are complementary to each other but require different soft skills. Some students are very passionate and clear about their respective practice field – i.e., IP, environment, international laws, etc. one should pursue the line what feel confident about and is passionate about. Every practice area is rewarding, but it takes hard work. Some practice may sound remunerative from the first day, but it could saturate if you are not good at it.

     

    Could you please share with us how you came to be awarded with the prestigious Chevening Scholarship? 

    The British government used to provide scholarship to young Indian lawyers with few years’ work experience to get a feel of UK legal education and work culture. One of my senior colleagues had already been awarded this scholarship, so I was aware of the programme. Out of about 400 applications received in 1999, I was among the sixteen selected for this prestigious scholarship. The competition was so tough that year that instead of normal intake of twelve, they had to take sixteen!

    Scholarships are great means to enhance one’s knowledge and vision. Students should look at scholarships which could be useful in expanding their horizon in totality. One should not limit her quest to finding a job in the country wherein you get the scholarship. I don’t think more than one or two people in my batch would be abroad today. All of us came back with enhanced knowledge, exposure, contacts and confidence and are doing very well.

     

    What did you enjoy most about studying at College of Law, York?

    As I mentioned earlier, the teaching methods, education tools and exposure was very different. Being foreign students, we were pampered a lot while strictness on attendance and discipline was there. The teachers there were more of friends, unlike the strict and typical guru-shishya system in India.

    We did a lot of interaction based studies, role play for negotiation, drafting skills workshops presentations before the faculty on comparison of Indian vs UK laws, went to various courts within UK, and so on. At the end of the teaching programme, we were placed with law firms in Central London. I worked at Ashursts.

    From a law student to a lawyer, how will you describe the transition?

    I don’t think it is any different from any other profession. As a student, you just study and write or otherwise convey your opinions and views in exams and presentations. You can get marks or grades for providing your opinion one way or the other.

    Once you are out with a degree and registration as a professional, the reality hits you. The buck stops here. Whatever you say or do, has to be very carefully crafted and drafted – be it a pleading, argument, opinion. Your client getting bail or jail depends on your skills. Your clients’ millions in a new project or success in negotiating a deal depends on your skills. So, now the onus starts falling on you. It makes you more careful and responsible.

    Could you take us through the process you adopt while writing?

    There is too much of information available these days. Each one of receives so many phone calls, emails, updates and newsletters that we are sick of it.

    I enjoy tracking developments in corporate and investment laws of India. By now, I have too many professional contacts worldwide and it is very difficult to discuss any new developments with them on a one-to-one basis, nor do I wish to spam anyone not interested. Hence, I thought of formulating useful information in the forms of articles which anyone could read without obligation or interference on my part seems interesting. Now, people who are interested in these topics read, comment, compliment, criticise at their own free will.

    What I do is I track news and developments which in my view could be useful for my contact base and other professionals. I try to put it in simple language so that non-lawyers could also grasp the intent with basic and useful information. For more details and specific advice, the readers can always approach me directly. Due to the simple language I use in my blogs and articles, sometime Indian and international websites request me for republication thereof, which I happily agree to.

     

    Where does you passion for teaching come from? 

    (Mr.Verma started initiatives to impart legal knowledge and experience to younger lawyers and students at firms where you have worked. He has also been a guest lecturer at various national / international institutions.)

    Unlike money, knowledge increases by sharing. I enjoy sharing my knowledge with younger lawyers and students, so whenever there is an occasion, I am available for mentoring, be it CLE at the firm or guest lecture at an institution or a presentation at a seminar.

    The first professionals a kid has interaction with are doctors and teachers, isn’t it ? Kids are scared of doctors for obvious reasons, so they tend to pick up a teacher as their first role model. I think that has stayed with me forever. I have utmost respect for teaching fraternity and am thankful to the role of all my teachers for shaping me into whatever I am today. Within me too lies a teacher as well, so as and when there is an opportunity to go back to college, I am too happy to oblige. I keep getting offers for writing books and joining as guest faculty, so never know what lies ahead.

     

    Did you have a mentor or guide during the initial phase of your career?

    I have been very lucky and privileged to have worked with some of the best professionals of our times during last two and a half decades, be it Mr. Ajay Bahl, Ms. Lira Goswami, Mr. Pinto Khaitan, Mr. Paras Kuhad or Mr. Atul Sharma. There are some common traits to all these legendary and successful people. The more experienced and knowledgeable you are, you tend to be more approachable, humble, down to earth and open to new ideas. I am thankful to all these wonderful people for guiding me through my career and still rely on them for guidance. Besides legal acumen, you tend to learn so much from great professionals in terms of ethics, solution-centric attitude and so on.

    So, the importance of a good mentor cannot be underestimated, particularly in the initial phase of one’s career.

     

    Given the dynamic nature of the field you practice in, how do you keep yourself updated about the latest legal developments?

    What advice would you like to give our readers, who are mostly law students and young lawyers?

    There are no short cuts or free lunches in life. Work hard. Be humble. Be serious about studies and work, but live and enjoy life too.

    Ritwik Sahay qualified in law from Delhi University in 2008, prior to which he had attained a bachelor’s degree in Commerce. He has worked as an Advocate at firms like Trilegal and Dua Associates, with his specialization being Corporate Law. He currently heads the Corporate and Commercial team at Jus Remedium.

    How would you like to introduce yourself to our readers?

    Hi, I am Ritwik Sahay, the Corporate Partner at Jus Remedium Law Offices. I am a law graduate from Delhi University and have completed C.S. (Executive). My core areas of practice include M&A, FDI, general corporate & commercial advisory, labour & employment, and corporate and regulatory compliances. I love reading and that helps me to improvise myself, on a personal as well as a professional front, on a regular basis. My success mantra is hard-work, honesty and collective growth.

    Was Law your first choice as a career? What prompted you to take up this line of work?

    Well, Law was not my first choice as a career. I was aspiring for business administration but could not get through any ‘A’ grade business school. Basically, I started Law to compliment my CS syllabus, but gradually I fell in love with Law and pursued it as my main course. Most lawyers would agree when I say that Law is a challenging career that literally forces you to excel everyday if you want to be in the practice for a long period. I became fascinated towards Law practice after realising that this profession will not only provide me a platform to gain immense knowledge but will also give me opportunities to make a difference in the functioning of corporate sector.

     

    Did your Bachelors in Commerce in any way prompt you to choose Corporate Law, or further your interest in it?

    Yes, of course. I strongly believe that my commerce background not only prompted me to take up Corporate Law as a practice but also proved to be of great help in understanding the intricacies of corporate structure and requirement. Some of the commerce subjects like economics, accounts and business laws gave me a bigger horizon to understand  Corporate Law issues and measures to tackle them. I also believe that in the present era, legal and business requirements go hand in hand, and you cannot really segregate them especially if you are in Corporate Law practice. Having a commerce degree (and pursuing CS) literally mended my way toward adopting Corporate Law practice. Once you have been in this practice for 7-8 years, you tend to realise that having a good understanding of financial records of a company gives a cutting edge over others, and having a commerce background certainly helps you in decoding these financials records.

     

    What was your experience like during your stay in Delhi University? What were some of your biggest takeaways?

    Oh, it was a life-time experience staying in DU. I had come to DU from a small town in Bihar/Jharkhand and it was a quite a cultural shock to me initially when I was introduced to DU (during my graduation days). Gradually, DU started taking good care of me and all I had to do was to adapt to the circumstances. Law graduation from DU was, of course, a prestigious thing and I thoroughly enjoyed my days at Law Faculty. I still believe that the Law Faculty trains you to be hard-working, dedicated and innovative. The variety of students you find in Law Faculty will completely change your outlook towards life and your career. Moot courts were really helpful in understanding the importance of the research part of Law practice. Similarly, debate competition literally improved my negotiating skills. It is quite important that you keep participating in these activities during your college days. I had bagged a couple of awards in debate and moot-court competitions in Law Faculty.

     

    You refer to your ability to act as a liaison and your negotiation skills as some of your key skills. How do you think these have played a relevant role in your career?

    Well, I think liaising and negotiating skills are inseparable part of Corporate Law practice, and these are as important as your knowledge of laws. I am an ardent believer in the fact that if you cannot express or communicate your knowledge, your knowledge will not be useful. As Corporate Law practice largely involves finalising the terms of several agreements, it is not important only to draft these agreements but also to negotiate the terms with the other parties and to convince them to agree to your terms. If you do not have a strong negotiating skill (coupled with knowledge to back it up, of course), it would be difficult for you to get through any transaction. I also believe that adaptability is one of the significant factors that you must possess to enhance your negotiating skills. Likewise, liaising with different Government bodies to conclude a transaction is something which you cannot afford to ignore. It is necessary to understand that different Government bodies function in different styles and you have to adopt different measures to liaise with them.

     

    A lot of your work involved foreign investment. Do you think the current laws do a satisfactory job at safeguarding and promoting foreign investment?

    Foreign Investment is one of the most important aspects of Corporate Law practice. Majority of the Corporate Law Firms in India, these days, base their practice on foreign investments. As a firm, we are of the view that the current legal regime has been quite successful in attracting foreign investment. There are, of course, certain areas like labour and industrial laws, which – in my view – are archaic and can be improvised to make them simpler and practical, but a large number of current legislations are providing good opportunities to foreign investors to explore Indian market. Further, introduction of the new set of companies laws and bankruptcy & insolvency laws are a good sign which have already attracted the eye balls of foreign investors. Also, the liberalisation in the conditions for foreign investments (through amendments in the foreign exchange laws), on a regular basis, not only signify the Government’s intention to make India a better place to invest in, but also make the investment procedure simpler and smoother. At present, one of the biggest challenges is to eliminate the uncertainty regarding the tax laws (in terms of Goods and Service Tax laws and Direct Tax Code) which, I think, are causing the foreign investors being overcautious.

     

    Did your internships and/or prior work experience in any way aid you in the furtherance of these?

    Actually, being a commerce graduate and pursuing CS, I always had interest in corporate laws, and the kind of internships I undertook pushed me to take up Corporate Law practice.

     

    You have worked with issues regarding benefits available to employees under various labour welfare organisations etc. What are your thoughts regarding the Labour Laws present in India today?

    Most of the labour laws in India are welfare legislations and were enacted to protect the interests of labourers to a large extent. The Indian Judiciary, too, have time and again been proven to be labour friendly because of the fact that labourers are considered to be having week bargaining power vis-a-vis their engagements with corporate entities. However, with the evolution of trade unions in India, there has been an immense shift in the bargaining power of the labour force which at times gets exercised in unwanted manners. If you see, a majority of the labour laws in India have failed to adapt the new trend and that causes a regular tussle between the corporate entities and them. Further, these labour laws are so scattered that it is really difficult for a corporate entity to be fully complied. Segregation between Central legislations and State legislations vis-a-vis the labour laws has further added to the complexity of these laws. We, as a firm, strongly believe that now is the time when the Labour Laws need overhauling to make them simpler and practical so at to cater the needs of the labours but at the same time making the compliances easier and smoother for corporate entities.

     

    What made you decide to start your independent practise Jus Remedium? What are some key differences you have faced in terms of dealing with clients while working under a firm, and being an independent practitioner?

    I think it is broadly a matter of choice whether you wish to continue working with a law firm or want to go independent – both has its pros and cons. For me, I think it was an urge to develop my own philosophy of working which sort of compelled me to start Jus Remedium. Of course, it was a tough decision to leave a settled career in Trilegal and start an independent practice, but it was a bit of self-belief and the support of family and clients-cum-friends that allowed me to go for it.

    I did not find much difference in dealing with clients because of the fact that I have been dealing with similar clients for a substantial period of time while I was in a law firm. One prominent difference would be the added responsibility that you not only have to execute the work but also to develop a relationship with the clients directly to earn works. Initially, it was little difficult to realise that we are a start-up firm and we have to adjust to the clients’ requirement in terms fees and deadlines. But, we adapted quickly and the clients are quite happy with the quality and turn-around-time we offer to them.

     

    In the short while since you have founded Jus Remedium, you have built a significant network of big corporate clients. What are the key factors to building such a clientele and maintaining their trust?

    These days, competition amongst law firms is acute, and hence it becomes important that your clients are satisfied with the quality of your work. It is not important only to win new clients but also to maintain a healthy relationship with these clients, and this is possible only if they feel safe in your hands. There are several factors which should be focussed on while you are developing your clientele, including your expertise and acumen to understand clients’ specific requirements. Additionally, you have to make your clients feel important irrespective of its size and the industry it belongs to. As a start-up firm, our philosophy is to provide quality work to our clients within a flexible turn-around-time, at a highly competitive price.

     

    Please share with us your experience with identifying and shouldering Key-Responsibility Areas with regards to assignments in a myriad of fields. How did you go about such a mammoth task?

    Basically, I enjoy identifying and shouldering responsibilities- be it towards clients or other lawyers. It has been quite a journey for me from being an associate to being a partner, and it has really helped me to understand the ground level issues to top level issues. As regards the legal assignments, I strongly believe that you would be able to give your 100% only if you get a sense of attachment with the assignments. It is easy to convince others on any issue but you should always try to convince yourself first before discussing it with others. Once you are convinced with your view, you would have a solid logic to back it up.

     

    What message would you like to share with our readers?

    Always stick to the fundamentals. Never opt for any shortcuts. Law is such a profession where you have to grow on a daily basis and be updated with the changes around. Since these days, laws are so dynamic: it becomes all the more important to be aware about all the amendments in the legislations you are practicing. My candid suggestion to the readers would be to focus on developing analytical and reasoning skills besides adopting an attitude of getting into the depth of every matter.

    Puneet Bansal graduated in B. Over the course of his highly successful career he has worked as a Partner at Lakshmi Kumaran & Sridharan as well as BMR Associates. He is at present a Managing Partner at Nitya Tax Associates.

    How would you introduce yourself to our readers? Please tell us about your family and childhood.

    I was born and brought-up in a middle class family. My father is a business man and mother is a house maker. Being in a middle class household, my upbringing was normal. I was a pretty average student till Class X.

     

    Were you always clear about your career plans considering you pursued commerce in senior secondary and went on to graduate from Hansraj College, Delhi University in B.Com?

    Never. I choose Commerce in Class XI as I was not interested in Science and Arts. It was in Class XI that I developed an interest in studies and started doing well. Since my marks in Class XII were good, I joined Hansraj College. I didn’t have any career plan till then.

     

    How did you manage college with your CA preparations?

    One of my uncles filled the Chartered Accountancy form and that’s how I started doing CA. Indeed, CA used to be a tough course earlier as well. I used to go to college in the first half and come back to the CA firm in the second half when I was interning. It was a tough 3 years of managing both studies and internships.

     

    Please tell us about your CA Articleship. What was the application procedure? How competitive was it to secure an Articleship? What was the work assigned to you?

    I did an internship in a medium-size CA firm. My senior in the CA firm was a family friend so I got the internship with ease. I did accounting, company law and Income tax related work during the internship. Importantly, I was not at all exposed to indirect taxes during my internship which is my area of profession now. The period of my internship was a thorough enjoyment and was my first chance to peek into the professional services space.

     

    You graduated from Hansraj College in 1998 and finished your CA course in 1999 with an All India Rank. Please enlighten our readers with some valuable tips to ace the CA examinations.

    I cleared all CA exams in the first go and was the All India 27th rank holder in the CA final. I have followed one rule for preparation for CA exams, and in fact, now as well when I am practicing on my own I abide by it and that is ‘whatever you do, do with passion and then everything will fall in place. Otherwise do not do it’. I was always interested in understanding concepts rather than clearing exams. The conceptual clarity in all the CA final subjects only helped me in clearing the exams.

    Our readers would like to know about your initial days as a CA professional. Could you share with us any interesting anecdotes?

    When I became a CA, I thought that life henceforth would be easy. But I was confronted with reality soon and realized clearing CA is the start of struggles in one’s professional career. Clearing the CA exam only opens the gates to the professional world. At each stage of our professional lives, we need to prove ourselves with hard work and competence.

     

    Was it difficult for you to shift to a new place of work, which was primarily a law firm? Please tell us about your work experience at L&S.

    (Puneet joined Lakshmikumaran & Sridharan in 2003 as a Chartered Accountant in their indirect tax litigation practice.)

    Indeed. I was working in Maruti Udyog and suddenly decided to shift to L&S. My family was stunned and couldn’t understand my decision. Also, the decision to shift from an Industry to a Law firm was a big change in my career. Working at L&S was a great experience. It was a close knit family environment comprised of competent professionals. Initially I did litigation, and later, set up their advisory practice. It was 9 years well spent in my career.

     

    In 2004, you joined Delhi University to pursue law. What was the driving force behind this decision?

    As I was working in L&S and wanted to make a career in litigation, I decided to do law. The admission procedure at the Delhi University required clearance of an entrance test. Clearing the entrance test was not tough.

     

    Please tell us about your law school days. Did you participate in any student activities? How active were you in other college activities?

    I did law from the Campus Law Centre, Delhi University evening batch, so I used to attend the classes and write the exams. As I was working full time in L&S, I didn’t participate in student or college activities during my law school days.

     

    How helpful was your law degree in terms of the added legal perspective to your existing knowledge? What career advantages did it bring?

    (Puneet qualified in Law in 2007, after that he continued with L&S.)

    The law degree really helped in giving me perspectives on the Indian Constitution and various other Commercial laws. I would recommend it as a “must do” if one needs to practice tax. Further, the law degree opens an opportunity for you to appear in the High Court and Supreme Court.

     

    What work does advisory practice include? What were the added responsibilities as a partner of one of the leading firm in indirect taxes?

    (After establishing the advisory practice of L&S, Puneet headed this team as a partner from 2010 to 2012.)

    The advisory practice involved advising clients on Indirect Tax issues involving legal interpretation, structuring business models etc. As a Partner of a large law firm, I was responsible for advising leading corporates of India. I also had the responsibility of managing a team of 10 – 12 professionals.

     

    Please share with us your work experience at BMR.

    (In 2012, Puneet joined BMR & Associates LLP as a partner.)

    My professional journey wouldn’t have been complete without joining BMR. It was a totally different way of practicing when compared to a law firm. The advisory practice was more focused on bringing legal, practical and implementable solution for clients. Furthermore, I really liked the professional practices in BMR. Overall, it was a great experience.

     

    How important is taxation as a subject for law students? What advice would you give our readers to consider taxation as an area of practice?

    Taxation is a very important subject for law students especially if one is focused on commercial laws. Taxation plays a key role in business transactions and has the effect of making and breaking the business. The current times are most exciting times for tax professionals with so many things coming up or growing up, be it GST, Transfer Pricing, International Taxation etc. This is right time to be in the taxation field.

     

    What issues did you face while setting up Nitya Tax Associate? Our readers would love to know about the significance of “Nitya” in the firm’s name.

    (Puneet recently founded an independent indirect tax boutique “Nitya Tax Associates” at New Delhi.)

    The decision to start Nitya was an attempt to create something on our known outside a framework of large firm. In professional services firm, only two things are important – clients and people. Some of the leading corporates have reposed faith in us and the going has been good till now. There were initial challenges on getting good people but now, we have a good team.

    The name ‘Nitya’ has its origination in the Sanskrit word and stands for ‘continuity’ / ‘eternity’. The name is a reflection of our belief and commitment to be available to our clients.

     

    Please introduce us to your team. What plans do you have to take forward Nitya Tax Associates, in terms of workforce as well as setting up branches in other major cities of India?

    We have a good team with some members with experience ranging from five to eight years. Kulraj Ashpnani, Deepak Suneja and Gaurav Narula have worked in large and reputed professional services firms. As of today, we are twelve professionals -a mix of Accountants and Lawyers. As of now, our focus is on NCR though we continue to cater to clients in other parts of India. For the next one, two, years, we plan to operate from Delhi and to strengthen our foothold first.

     

    What are your views about the upcoming GST regime?

    The GST will significantly simplify the indirect tax regime. During the first few years, it will open a floodgate of opportunities for professionals be it accountants or lawyers.

     

    What are the preferred legal issues you like to work on? Do you have any hobbies that help you unwind after a long day at work?

    Working on complex Indirect Tax issues for large manufacturing clients is my favorite as of now. I also enjoy doing litigation. Spending time with my kids and watching Hindi movies really helps me unwind.

     

    What would be your parting message for our readers?

    It does not matter what career you choose, but whatever you choose, do it in the most exemplary way and then everything will fall in place. Success is not a destination; it is a never-ending journey.

    Sajai Singh graduated in B.Sc from St. John’s College, Agra and later qualified in law from Delhi University in 1990. Sajai is currently a partner at J. Sagar & Associates and the Chairperson of the firm’s Corporate Commercial Practice. Having experience spanning over more than 25 years, Sajai is an acclaimed transactional lawyer. Sajai has been the President of the International Technology Lawyers Association and is a member of the American Bar Association. In this interview he shares with us:

    How would you like to introduce yourself to our readers, most of whom are aspiring lawyers?

    I am a first generation lawyer. My growing up years were spent moving from one cantonment to another as my father was in the Indian Army. Growing up in the army background bought a sense of discipline and commitment in me. I changed schools every two years if not earlier and my first exposure to living in a big city was when my father was posted to London and I joined him after completing my 12th Board exams, for one year.

     

    Could you tell us a little about your college life and why you decided to pursue a legal career?

    In college I studied Science. Chemistry was my favourite subject. Post College I studied Business Management and had an interest in International Trade. As I read more about International Trade, I realised the interplay and the key role played by Law.  It was the glue that made business possible in an organised and harmonious manner. Without the principles of law governing every aspect of business, a business transaction, like may others, would be anarchic. We had to keep referring to the ‘rules’ to answer any response to a ‘why’, a ‘how’ or a ‘what’. This was interesting, and at the same time intriguing.  That’s when I got interested in study of Law. Subsequently, I joined the Campus Law Centre, Delhi University.

     

    You completed degrees in B.Sc and PGD Business Management before pursuing law. Have these courses helped you in your work?

    Not just my qualification in Science and Business Management but also my secondary education in the Kendriya Vidyalaya system helped my overall growth and awareness, eventually assisting my study and practice of Law. Science taught me technical skills, while my Business Management background developed my analytical skills. My multidisciplinary exposure helps me understand the needs of my corporate clients better.

     

    What kind of activities did you take part in while at law school?

    Writing has always been a passion for me. While studying Law in the 80’s, mooting and debating opportunities were fewer compared to today. We made the most of the opportunities that came our way. Students today are blessed to have far more opportunities and avenues open to them. And they are not limited by geography.

     

    Did you do many internships while at law school? In retrospect, how important were these internships in shaping your career?

    Internship opportunities were few during my Law School days. I was, however, working while studying law. My passion for writing got me an opportunity in a leading advertising agency and I used to work in the copy department of the same. I also did part time work at Doordarshan and All India Radio. From the money I earned, I paid my rent and met my other needs. While the money I earned was not much, things were simpler, choices were scarce and my needs were simple. It were these life experiences that helped me realise the value of hard work.

     

    Having participated in a number of international programmes and workshops, what would you say were you biggest take-aways from each?

    I feel international exposure not only builds confidence for people from developing nations but also allows one to understand how to function in a flat world. The learning is both ways between developing and developed economies; between modern and ancient cultures; and between different professions. I have been lucky to have done courses in Wharton and with the Euromoney Institute. But the single most impactful experience for me was with the Centre of International Legal Studies/(CILS) Austria. I did a Certification Program in International Practice with them. This program took me to Dallas, where I spent 4 months working with the US law firm, Jackson & Walker. This time was an eye opener and prepared me for my forth coming move to set up open and run the Bangalore office of JSA in 1996.

    You have worked with J. Sagar & Associates (JSA) for 23 years now. Can you tell us the best and worst things about working in a corporate environment in general, and JSA in particular?

    I started my career as a Litigator. I moved to Corporate Law after 2 years of Litigation and Arbitration practice. I would recommend all future corporate lawyers to have some exposure to Litigation and the Court system before they shift work exclusively in the Corporate Law field. My tip on this point for aspiring lawyers would be to spend as much time in the Court Registry as they can. This exposure is key to understanding process and how the backbone of the justice system works. Contentious work develops quick thinking, contextualising and research ability, which is very useful for a Corporate Lawyer. While exciting in its own way, it may take time for Corporate Law work to replace the adrenal rush of arguing a matter before judge.

    My Experience in Corporate law field is limited to JSA. Therefore, I would not be able to comment in general about corporate law firms. JSA has been a very International, forward looking and broad canvas exposure for me. Its institutional character, ethical rooting and transparent interactions make it a very happy and comfortable environment to practice law in.

     

    As the Chair of JSA’s Corporate Commercial Practice, how do you recall your career traversed to bring you to your current position? What is your current work profile like?

    Since 1992, when I joined JSA, some months after it started, I worked extensively for multinational clients setting up business in India. Those were the years when India was slowly liberalising its economy and JSA was working closely with its overseas clients to try and maximise value for them as a part of their India entry strategy. Other than foreign exchange regulations, the other laws that I initially worked with were Company Law and Contract Law. With years of focus on these statutes I had a background which led to me being made the Chair of JSA’s Corporate Commercial Practice. It is my endeavour to continuously expand this practice including in areas that I am passionate about and feel will become strong practice areas in their own right very soon. These are Employment Law, Anti-corruption Law, Data Protection & Cyber Security. I am doing a fair amount of work in both these areas. In terms of my work profile, in addition to doing billable work, I am also expected to create a business development strategy, training schedules and curriculum, recruitment and HR needs and implement them for the overall growth of the practice.

     

    Please tell us how do you approach work with regard to management and delegation.

    As with any progression it is important to nurture the younger generation and allow it to grow develop and play a larger role. I follow the same principle in my practice. I have always been surrounded by brilliant young lawyers who have worked closely with me in delivering extraordinary service to clients. I believe in delegation. I believe in trusting my colleagues and their ability. At the same time I do feel a challenging is a good way to obtain the best performance. Unless a matter requires involved supervision or is evolving with time, I tend to keep my role limited to supervision and emerging essentials.

     

    Tell us about an interesting case you handled recently. What is your favourite part in the life cycle of a given matter or case?

    One of the recent anti-corruption investigations, that I worked on, involved out-of-the-box time critical thinking. Most of the challenges came from the human element rather than from a law or a regulator. And it is the ingenuity of the human mind that emerges as the most fascinating aspect of any transaction. Unravelling and anticipating this aspect is my favourite part. Using technology as an able tool has proven to be a wonderful experience.

     

    How did you develop an interest in Technology law?

    (Sajai was the immediate past-president of the International Technology Lawyers Association, which is a first for any Asian.)

    I have always been interested in new areas of law, which evolve with the development of Society. Be it Television Broadcast Law, Cable Television Law, Copyright Law, or information Technology Law, I have seen all of them evolve before my eyes and these have been fascinating experiences. I am sure there will be other and newer areas of law that will grab my fancy in the coming years. I look forward to that.

     

    Please give us some practical insight into the Information Technology sector in India juxtaposed with the same in the global context.

    From being the back office of the world, India today provides the world cutting edge consulting and advisory support. I see entrepreneurs come up with new ideas and technological breakthrough on an encouragingly frequent basis. I do hope India would evolve into an IT product, Software and Patent creations hub in the near future.

     

    Could you please provide us with some context in regards your long standing association with the American Bar Association?

    Since most of my clients were American Corporates doing business in India, I had to closely work with US lawyers and US General Counsel. These interactions led to me being invited to speak at several Seminars and Conferences, including those organised by PLC, IBA and ABA. These and many other associations welcomed me and my thoughts into their fold.

    ABA seemed a natural fit for my practice as it helped me understand the US legal landscape. My clients operated in this space and I had to keep abreast with it if I wanted to adequately service my clients, Thus began my association with ABA.

     

    Please tell us a bit more about the Private Equity and Venture Capital Committee that you are the Chair of.

    As a part of my leadership of the PE/VC Committee, I collated International experiences, regulations and understanding to what may be considered a cross border phenomenon – PE/VC investments. These collated thoughts, updates and experiences were presented to the Committee members at meetings and online.

     

    You conducted skill development courses on Negotiation and Transactional skills at the NLS Bangalore. What is the structure and curicula of this course?

    I like to teach and work with students. They have so many new ideas and life is looked at with different perspectives. As a part of this interest I taught at the National Law School, University of India Bangalore. Now due to time constraint I’m only able to conduct shorter skill development programs and not teach semesters as in the past. My Negotiation Skills and Transaction Skills Courses were focused on practical development of the students rather than on teaching theory. I wanted to provide my students with an opportunity to understand how negotiations are conducted in practice and the life cycle of a transaction with several live examples exercises and fact patterns. My students got an opportunity to role play in a controlled environment which I hoped would prepare them for the practice of corporate law.

    I also conduct legal workshops in different universities across the world as a part of my education initiative for ITechLaw. The recent ones that I conducted were in Colombia, Ecuador, Peru and Chile. I hope to conduct one in Cuba next year.

     

    What advice would you like passed on to an aspiring lawyer?

    My advice to any aspiring lawyer is to remain curious, ask questions and try to learn one new thing every day!

    Sudhir Mishra completed his graduation in History from Deshbandhu College, Delhi University. Thereafter in 1998, he finished his degree in Law from Campus Law Centre, Delhi University. Soon after graduation, he started his own law firm, Trust Legal, which specialises in environmental, health, financial services, securitisation, banking, oil and gas law practice, as well as alternative dispute resolution.

    How would you introduce yourself to our readers, who are young and aspiring lawyers?

    I am a first generation lawyer who was always very sure about one thing – that I will not join any law firm, but will start on my own. It was in the year 1998, when I plunged into the legal profession with all my belief, that one day this country will take note of me.

     

    What made you decide to have a career in law?

    I did not decide – it happened by accident and destiny. I was interviewed for IAS in 1998 and failed to clear it, and then was forced to a large extent by my father, who was a serving IAS officer, to take law as a career.

     

    What made you decide to become an independent legal professional, rather than joining a senior lawyer or law firm at the beginning of your career?

    As in 1998 there were very few law firms and I was already twenty eight (28) years of age, I had a lot of reluctance in undertaking prolonged training and working as a junior in a law office. I had great interest in environmental issues, and during my training with Ms. Pinki Anand, Senior Advocate and now Additional Solicitor General (ASG), I was very confident about kick starting my own practice, rather than being part of somebody else’s setup. I took everyday as a challenge, setup a small office at home and started visiting NGOs working in the field of Environmental Law. Somehow, there was a deep feeling inside me that I will succeed as a lawyer, which propelled and fuelled my ambition of being on my own. In three years’ time, by 2001, I was retained by close to five National and International NGO’s and was also working for Government Undertakings and lot of private companies. It was a time of excitement, uncertainty and thrill, and I loved every moment of it.

     

    What made you choose Environmental Law? Please tell us your experiences that made you focus your practice in environmental law.

    I was attracted to Environmental Law because there were very few lawyers involved in this field, and I had a great liking for environmental issues, most specifically Wildlife and Conservation.

    Please tell us about the most memorable environmental law petitions you have litigated on.

    The two most important petitions which I followed and argued on Environmental Law have been:

    1. Stopping the road which was passing through the Jim Corbett Tiger Reserve, before the Supreme Court, and
    2. Stopping a wet land (World Bank Drainage) project, for the protection of Sarus Cranes, before the Allahabad High Court.

     

    Also, what have been your most memorable environmental law transactions on the corporate side?

    My most memorable environmental law transaction on the corporate side has been in helping the largest FDI in a tourism project for setting up a Ski Village in Manali (Himachal Pradesh), wherein I managed the Environment Impact Assessment (EIA), Environmental Clearance issues (EC) and Environmental Management Plans, by engaging with The Energy and Resources Institute (TERI) and Indian Institute of Forest Management (IIFM).

     

    What did you find appealing about working on your own?

    It’s like being a daily wage earner, who is a master of his own fate. Life is so uncertain that securing a career and a settled and a protected life is too boring.

    From an independent legal practice to forming and running the boutique law firm Trust Legal – how challenging was your journey?

    I was left with little options, since the country had been acknowledging me as a prolific Environmental lawyer by 2003-2004. Infact, I went for the International Visitors Leadership Programme (IVLP 2005) organised by the US Government, owing to my pioneer work in Environmental Law in India. However, big commercial success was more a need and necessity for social recognition. I was married in 1999 to Mamta Tiwari, who became a Partner in Fox Mandal in the year 2001, and was regularly being voted amongst the top 20 Dispute Resolution Lawyers in Chambers & Partners, Legal 500, etc.

    Comparisons  started to happen, and it was very important for me to ensure that environmental law would pay just as well. We created the firm Trust Legal with that philosophy, and today we are the leading law firm representing all kinds of companies in India and abroad on Environment and Health law practice. Infact, Healthcare has become a bigger and major practice area of the firm, with Trust Legal representing more than 30 hospital groups across the country in litigation and corporate advisory. The firm is also very active in the field of Real Estate & Infrastructure, Oil and Gas and Banking & Finance law practice.

     

    What is your role as the Managing Partner of Trust Legal? What are the challenging and stressful aspects of managing and running a firm?

    As the Managing Partner of the firm, I encourage my team to think as entrepreneurs. My job is to ensure that the business of the firm is moving in the positive direction, salaries are paid on time, talented people are encouraged, along with ensuring the emotional and physical well-being of lawyers. There is nothing stressful in managing a law firm as a lead Partner, since your entire day is filled with excitement, and a sense of purpose and duty.

     

    What do you want to say to the next generation lawyers? Which are the growing areas of law where a new law student or young lawyer can focus and distinguish himself/ herself?

    I suggest that each lawyer should follow his/her own dreams, by assessing his/her own interest area, and then working accordingly. I believe that apart from environment; health, infrastructure, commercial litigation will also be  new big areas to focus on.

     

    Tell us about your early education, your place of graduation, your place for learning law and your experiences during student years.

    My early education was in a place called Siwan in Bihar, where most of my classes upto class 10th were conducted under a tree, as the school building was very depleted. I did my 10+2 from an even smaller town called Bankain Bihar, where my father was posted, and then I moved to Delhi University. I did my graduation from Deshbandhu College in History, and Law from Campus Law Centre, Delhi University. Most of my education upto class 12th was supervised by my father at home, who used to teach me personally, and there was a great emphasis on reading newspapers, books, autobiography and magazines from a very early age of my life. In my college and law school, my personality was greatly decided and shaped by my friends who all are well accomplished in their respective careers.

     

    Whom are you influenced by? Who is your role model?

    I am influenced by my father S.K. Misra (Ex IAS officer Bihar Cadre) and my role model is my cousin sister Sonal Mishra (IAS officer Gujarat Cadre). My father taught me that with confidence and integrity, anything is achievable. My sister Sonal taught me the spirit of hard work, determination and aiming very high. Her success in IAS in 1997 fuelled in me a desire to make a very big career in law.

     

    These days, most young law students look towards corporate law. What is your take on that?

    As I said earlier, one should not go by what everybody else is doing – the idea is to create your own destiny, your own line, your own fate, your own league. One should follow one’s instincts and never settle for something ordinary, or for quick returns. One should remember that it’s a long life and success should remain a guiding factor in your fifties and sixties, so the decision which you take in your twenties should not ruin your old age.

     

    What do you see as the future of legal profession? What message would you give to young law students and recent law graduates?

    The future of legal profession is superb, and is undergoing a silent revolution. Hundreds of more law firms will come to cater to increased economic activity within the country.

    My message to young law graduates is to create something new and long-lasting.

    Khusboo Khatreja is a Bachelor in Commerce graduate from Kirorimal college, Delhi University. While in last year of her college, she was placed in Ernst and Young but due to interest in law, she decided to join Delhi University and completed her LL.B. She graduated in law in 2013.

    She has been outstanding as a student and was mainly focused on academics. Being a commerce graduate, she was inclined towards corporate law and therefore pursued her internships accordingly. She also managed to pursue Company Secretary course along with law. Soon after graduation, she started working with DSK Legal, Delhi and her main practice area includes real estate and general corporate law.

    Given that most of our readers belong to legal fraternity, how would you introduce yourself to them?

    Hi!! I’m Khushboo Khatreja. A 25 years ‘young’ lawyer, who is endeavouring to perceive this dynamic legal profession. I am currently associated with Delhi office of DSK Legal as an Associate. I graduated from Faculty of Law, Delhi University in 2013 and joined DSK Legal right after completing my professional degree. It has been a great experience so far under the guidance of Mr. Niraj Kumar.

    During this short tenure, I have had a chance to work on various exciting assignments and representing some big clients. DSK gives you ample opportunities to handle the assignments in a manner which backs your personal growth and development.

    At this stage, I look towards learning new things, shaping my knowledge and to expand my horizon. Presently, I am handling assignments related to corporate advisory and real estate. My aim is to keep exploring at this level, and have a specialization after certain level of practice.

     

    Having done B.Com, what motivated you to choose law as a career? Or did it just happen?

    Frankly, I feel this statement is true. I was determined to pursue B.com (Hons.) but that is not the case with LL.B. Choosing law as a career option was not pre planned at all. I got a placement in Ernst and Young during the last year of my graduation. But pursuing LL.B was on my cards, and during that placement period, my cousin motivated me to explore options in legal field. I gave it a thought and tried my luck in Delhi University’s LL.B entrance examination. So, the credit goes to my cousin! And I have no regrets.

     

    As a graduate of Delhi University, have you faced any comparison with NLUs? What would you say to the future graduates of DU regarding this?

    I have heard people giving statements on this ‘inclination towards NLU grads’. Fortunately, I have not experienced such thing. Delhi University was, is still is and will remain the premier institution when it comes to legal studies. What matters is your knowledge and determination and everything else becomes drab should you have these standards. I owe a lot to Delhi University, be it Kirorimal College or Faculty of Law, for who I am today.

     

    What were your areas of interest during your graduation? How did you go about developing expertise and knowledge in these areas?

    Being a commerce graduate, my area of interest has always been corporate laws. To explore and have in-depth understanding of corporate laws, I pursued Company Secretary Course as well. It really was beneficial to understand corporate and allied laws theoretically as well as practically through this.  I have to accept that I was a reserved student. I had a limited approach towards my legal studies. I was much occupied during my course on account of handling my CS studies as well.

     

    What kind of internships did you do while you were a student?

    I interned at Khaitan, Sud and Partners, ASA Law Firm and Jindal Steel and Power Limited. At KSP, I worked on matters related to project finance, at ASA, I had a chance to understand corporate debt restructuring mechanism and at Jindal, it was more of drafting and understanding the complexities involved in various commercial agreements (domestic as well as international). As one can see, I have had a diversified experience in my internships. At that stage, I wanted to explore different fields and I was fortunate that I got to work with the aforementioned entities. Further, I was determined to work on corporate side for reasons explained earlier and thus, no litigation experience is on my plate.

    What are your thoughts on activities like mooting, debating and publications in journals? What skills do law students acquire by engaging themselves in such activities?

    They play a double fold role in a law student’s life. Apart from brushing your confidence and knowledge, they provide add on to your CV. One improves his/her drafting and soft skills by engaging into these activities. At a start-up level, they do play a vital role. Many firms place importance in these activities while selecting a candidate.

     

    Did your law school education prepare you sufficiently for the many tasks you were required to execute after graduation?

    Yes of course. Delhi University gives you practical exposure to a particular issue. The curriculum is totally based on precedents. It helps you to understand the real issue at your work place or internships, as the case may be. The theoretical aspect to a particular topic is limited. It’s more of case based studies.

     

    Many lawyers say that the first year after graduation is the most difficult one. What was your case?

    This indeed is true. At this level you are now all alone striving for an opportunity and yes, the expectations are too high at this stage..!!.During my last semester itself, I started looking for placement. The biggest challenge was not having someone who could guide me. Being the only lawyer in my family, I had to do everything on my own and I had no contacts. With the help of friends and understanding the process, things became clear with time. I feel that in this field contacts can get you anywhere. You can expect a call for an interview at least..!!

     

    You started your career at DSK Legal, New Delhi and currently work as an Associate there. What had contributed towards this appointment?

    One of my senior told me about this opportunity and I did not let it escape.Otherwise, one can approach DSK by submitting his/her CV at our website www.dsklegal.com. Depending on the candidate’s profile and DSK’s requirement, DSK approaches the candidate.

     

    What are the main practice areas of Delhi office of DSK Legal? What does your current work profile at DSK consists of? How is a typical workday like?

    We have two partners in Delhi office. One handles litigation and other handles real estate and general corporate practice. My current profile consists of real estate and general corporate practice. It’s a blessing to work at DSK when it comes to ‘work-life’ balance. I start at 9.30 setting out the deliverables of the day first. Work life is pretty comfortable here as my seniors and partner are only concerned with the quality and time line of a deliverable. How I do it, that’s completely my look out.

     

    Are there new challenges everyday or has work settled into a predictable pattern?

    When you are working in a law firm, forget about anything which is predictable. There are new challenges every day which you face and which helps you to grow as a lawyer. No issue is related with each other. Every client has a different issue and their requirement as well as expectations from a lawyer is different. What I find more interesting is presentation and interpretation of law in such a manner which addresses the client’s issue and requirements. It’s a thinking process at all times.

     

    Can you tell us about a few of the most challenging problems you have faced thus far?

    When you enter into the job world in this profession, every day is challenging. Beginning was not easy for me as well. Everyday used to be challenging and hectic. And then there comes a transaction for which you are solely responsible and which is your ‘Baptism by Fire’. After initial 3-4 months of joining DSK, I was given to handle a funding transaction on my own and that’s where I felt that it’s not easy to survive in this profession. That is one transaction which still is a nightmare for me.

     

    How do you deal with mistakes or errors?

    We follow basic professional code of conduct at our workplace. There is no special requirement as such, but yes, there is no compromise on what is expected from you as a professional. Nobody is perfect and mistakes are bound to happen. What matters is how you deal with it and learn from it. I follow the same path. However, mistakes on basic aspects are not acceptable.

     

    Would you say your undergraduate B.Com degree has been helpful in your career?

    It truly was. It’s so easy to read financial documents and to have an idea about true position of a company while conducting due diligence for a particular transactions. In DU, we have contract law and taxation in our curriculum which provided a base to study these subjects and understand it in a more efficient manner for my law degree.

     

    What kind of internship/recruitment application do you think stands out positively and has a much higher likelihood of being accepted?

    Applications which are short yet expressive are the ones any recruiter would love to read. A good professional resume without any bragging ingredient in it acts as a deal maker. Keep applications short and simple. Take it not as a comprehensive list of your career history but as a marketing document selling you as the perfect person for the job.

     

    Would you say that the actual learning takes place in the years of practice? What was the case in your situation?

    This statement is somewhere true. For a practicing professional each assignment is a learning experience. While pursuing a law degree, a student has a limited approach i.e. understanding the legal issue. But at a practicing stage, what should be the approach towards such issue in a cost and time efficient manner is a primary focus. Same is the case with me. My approach towards an issue has changed altogether after entering into what you call a ‘Real World’.

     

    Where do you see yourself ten years down the line? Do you aspire to be like somebody from this field?

    In 10 years’ time, I see myself at a good position, progressing in legal field and earning new skills to the benefit of my clients. I do not aspire to be like somebody, I would like to be ‘ME’.

     

    Lastly, what would be your parting message for our readers?

    Pursue your dreams and don’t be afraid of failures. Failures are good experiences which help you in long run. People succeed because they failed in their life at some point of time. Keep going is the myntra!!

    Taniya Malik graduated in law from CLC, DU in 2009. She is an avid researcher and academician in the field of law. She graduated from Lady Shree Ram College before she decided to join CLC, DU to pursue law.

    After her graduation she worked at Lall Lahiri and Salhotra (“LLS”), one of the most prominent IP firms in India for an year. Thereafter she decided to pursue Masters and therefore joined DU again. With Masters, she managed to clear UGC-NET examination. She also had the opportunity to work as an Assistant Professor at ITM Law School before she joined DU where she is currently pursuing Ph.D. in Water Security in India.

    Given that most of our readers are law students and young lawyers, how will you introduce yourself to them?

    I am an avid researcher and academician in the field of law. Currently I am pursuing Ph.D. on Water Security in India from Faculty of Law, University of Delhi. Besides this I have taught law subjects at the Faculty of Law, University of Delhi and ITM University, Gurgaon.

     

    How did you gravitate towards Law? Tell us about your college life at CLC, DU. What all activities did you partake in?

    Honestly, Law was a backup option. In fact after I finished with my graduation at LSR, DU, I was still quite confused as to my future plans. I had zeroed on Law but I was still figuring out things and buying more time to make up final plans. But initial few classes at CLC made me realize that somehow through all this confusion, I had found my true calling. Since those days, I have never had a second thought about my profession.

    Studying at CLC in itself was an eye opening experience. I had just graduated from LSR, a girls’ college and till then I had been accustomed to a much protected environment. CLC changed all that and made me see some hard realities face to face. I got a chance to interact with people from very diverse backgrounds but most importantly I think it was the study of law that brought about a lot of change in my personality. I started becoming more upfront and confident. As far as activities at law school were concerned, I used to participate in various subject specific discussion committees. I also regularly used to attend talks and seminars held at CLC and was an active member of the Placement Committee. I was also got opportunities to work as research associate under few of my professors at CLC.

     

    Soon after graduation, you started working at Lall, Lahiri and Salhotra as an Associate. How did your appointment take place? What kind of responsibilities you were entrusted with?

    Immediately after completion of my LL.B., I got an excellent opportunity to work as Legal Associate at LLS (Lall, Lahiri & Salhotra), a Gurgaon based IPR law firm. It was a regular appointment wherein I had sent across my CV and sat through few interview rounds. I worked in the Trademarks Prosecution department of LLS wherein I was involved with the filing for registering of trademarks applications and attending hearings at Trademarks Registry, New Delhi. It was definitely a good experience for a beginner in the field of IPR

     

    After having worked at LLS for almost one year, you joined Faculty of Law, Delhi University to pursue LL.M. What made you to prefer Masters over job? Did you consider going abroad?

    While spending one year at LLS, I had developed a lot of fascination for higher studies in Law as I constantly used to feel that my studies in law were still incomplete. I discussed it with my parents and they also encouraged me to pursue LL.M. Additionally I wanted to explore judicial services as a career option and for these purposes I decided to undertake full time study of Law. As far as pursuing LL.M from foreign universities is concerned, the thought didn’t inspire me much in those days and infact I didn’t try any university abroad. I was happy with pursuing my LL.M from DU.

     

    Tell us about the course structure and specialization of Master of Laws at CLC, DU? What was your topic of dissertation for LL.M?

    LL.M at DU is a full time, two year course and the subjects of specialization can be chosen by the candidate himself. My subjects of specialization centred on Constitutional Law and International Law. My LL.M dissertation topic was on the legal regulation of Money Laundering in India. The controversy respecting Black Money was current in those days and this encouraged me to take up a detailed study on this subject.

     

    You have publications in various renowned journals. How should one go about writing papers and getting the same published?

    So far as publications are concerned, I would suggest that the authors must pick up topics that are current. I think that gives a better success rate in publications. Also I would suggest that the authors must attempt empirical study on legal topics as opposed to a doctrinal one. An empirical study of legal issues is more precise and provides more credibility to the research.

     

    How did publishing affect your legal career? Apart from academia, does it help one to secure jobs at all?

    Publications are of tremendous importance so far as academics is concerned. Infact one excellent research article has the potential to shape your entire career in academics. Apart from academia, although prima facie it seems that publications are not of much importance, but in fact they do. If legal professional wants to stand out in his field, then he must write on his area of expertise. Writing in itself is a profound activity and many of your own concepts about a particular legal topic will become clear once you start writing about it.

     

    You have also qualified UGC NET Exam. Could you please tell our reader about the exam and how did you prepare for it?

    UGC NET exam is a national level eligibility test for college level teachers, which is conducted by UGC twice a year. To secure a regular appointment at University level for the role of Assistant Professor, every candidate must clear the NET exam of the concerned subject. Fortunately I did not have to prepare specifically for NET as the syllabus comprised of all the subjects of law that I had already studied in LL.B and LL.M. I basically revised all these subjects two months before the exam and by God’s grace I was successful.

    You also had the opportunity to work as an Assistant Professor at ITM University, Gurgaon and at Faculty of Law, Delhi University. How did your appointment take place? Please describe your experience?

    My appointment at ITM University as Assistant Professor was a regular appointment. There was an advertisement by the University and I applied. It was followed by few rounds of interviews before the final selection. I was asked to teach Constitutional Law to the students of third and fourth years. Since it was my first teaching assignment, so I found it a bit challenging but in totality it was a great learning experience for me. Whenever my classes went exceptionally well, I always felt so calm and satisfied and that feeling can have no other parallel in the world. My stay at ITM University was followed by another teaching assignment at Faculty of Law, University of Delhi. I taught the subject of Wealth Tax at Law Centre – I. This in itself was a very overwhelming experience for me initially as I was teaching at the same University where I passed out from. I always used to put myself in the shoes of my students. In retrospect, I think I understood by students at DU better but may be this feeling is just psychological.

     

    Tell us about your teaching methodology? What subjects did you teach there?

    So far as teaching methodology is concerned, I try my best to keep the concepts of law simple for my students. I always preferred my classes to be interactive rather than a mere lecture discourse. Also I have always paid a lot of stress in case law analysis because that is what ultimately consolidates students’ understanding. So far I have had the opportunity to teach Constitutional Law and Wealth Tax.

     

    What made you to pursue Ph.D.? What is your topic of research for Ph.D.? What was your motivation behind the selection of that topic?

    When I cleared my UGC NET, I was simultaneously awarded a Junior Research Fellowship by UGC to pursue Ph.D. in Law. I realized it was a golden opportunity for me to solely dedicate myself for research in law in my decided field. Ph.D. today is essential if you wish to thrive in academics. Additionally, I was lucky enough to obtain my registration in Ph.D. at Delhi University in my area of interest i.e. Water Law. Water is basic for human survival, yet so far as India’s water resource management is concerned; we still have a lot of legal and policy gaps. Groundwater overexploitation, among other factors and the threat posed by climate change in near future will seriously endanger India’s Water Security. My research is an attempt to identify these legal issues and suggest proper remedies so that India’s water future is secure.

    Going forward, how do you expect the Ph.D. experience to influence your career?

    I obviously wish to be an accomplished academician and researcher in the field of law. I hope that through my Ph.D. thesis, I am constructively able to contribute so far as the understanding of water law in India is concerned. Further I hope that I come across some good opportunities where I can work with accomplished individuals and organizations in this field. I hope that this Ph.D. thesis will place me amongst the good researchers in the field of Water Law.

     

    What would be your message to law students reading this interview?

    To all the students of law, I wish, first of all, to congratulate them for the career path they have chosen. You are the leaders of tomorrow and within yourselves lie the potentials to positively impact this country in a way that no other profession can.

    Studying law in itself is a very empowering experience and please make most of it. Now unlike other professions, law has a higher gestation period and it will take you sometime to realize your true interest. So in the process, have patience and don’t get disheartened. Success will surely come with hard work and perseverance. Another important thing is to keep yourself updated and acquire excellent communication skills, as this field is very competitive if you wish to carve a niche for yourselves. Further if the circumstances are favourable, do go for higher studies in law. Although LL.B is sufficient to do well in this field but higher studies in law will open up your mental faculties and give you an very analytical and holistic approach towards law. I wish you all the best.

    Amitabh Lal Das graduated in B.A.(Hons.) from St. Stephen’s College, DU in 1990, thereafter he pursued M.A. in 1992 and then completed his legal degree by 1995 at Campus Law Center.

    With his qualification in law he started working with firms such as Vaish Associates and A. S. Chandhiok Associates. During the six-month long strike of lawyers that began in January 2000, Amitabh decided to pursue the British Chevening Scholarship, irregardless of his prior apprehensions he got successfully selected for it.

    With his scholarship he was appointed at Morgan & Walker, Solicitors, London and after returning from his exposure to the English law firms he decided to join transactional work at Kochhar & Co. In 2004, he was accepted for the LL.M programme in Securities and Financial Regulations at the Georgetown University Law Center (GULC). He had to discontinue it due to intervening concerns of expenses.

    Later he moved on to Sapient in their Regulatory and Compliance team. After Sapient, he is known as the General Counsel of Yahoo! for seven years. He is the Director and Head – Legal, Compliance & Regulatory Affairs currently at Max Life Insurance from July, 2014.

    In this interview, we cover his journey as a lawyer till date, while focussing on:

    Tell us a bit about your childhood and pre-college life as well as educational background.

    I was born in Patna and lived in Hazaribag (formerly in Bihar, now in Jharkhand) till class Xth, which I completed in 1985. After Class Xth, my parents put me in the Delhi Public School (DPS), Mathura Road, where I lived in the hostel. In 1987, I passed out of DPS with a top position in Humanities at the All India Senior School Certificate Examination (AISSCE).

    Thereafter, I pursued B.A (Hons) in History at St. Stephens’s College, Delhi University, from 1987 till 1990 and secured a first division. I then joined M.A. (History) at Delhi University Arts Faculty, and continued to be resident at St. Stephen’s. I completed M.A. in 1992 and cleared the first Law Entrance exam for the LL.B programme (1992-1995) at the Campus Law Centre, Delhi University. I completed law in 1995.

    After some years of work, in 2000, I was awarded the British Chevening Scholarship by the Foreign and Commonwealth Office of Great Britain for the Young Indian Lawyers Programme. I was one of the twelve Indian lawyers selected by the British Government for this short duration programme for a certificate course in British and EC Commercial Laws and Practice from the College of Law, York. The programme further entailed a short stint with a London Law Firm. I successfully completed the course and the internship in 2000.

    In 2004, I was accepted for admission by the Georgetown University Law Center (GULC) in its prestigious LL.M Program in Securities and Financial Regulations. I deferred joining the program by a year but eventually did not attend it as I could not arrange to pay for the expenses. Not being able to do the LL.M program at GULC is a big regret of my life.

     

    Before pursuing law, you completed your Masters in History. How did your interest gravitate towards Law?

    I had chosen Humanities after Class Xth. Although I was a topper in Class XIIth, I chose History over Economics because of two reasons. Firstly, in the assessment of my quantitative aptitude, which would be the key to success in an Economics major, was quite weak and, finally, History was considered a better, more manageable subject with higher success rates in those days at the IAS exams and I had aspirations to become an IAS officer. As per the age thresholds and the IAS exam calendar, the earliest I could have written the IAS exam was a year after completing my graduation (B.A.), and if I pursued M.A. I could continue to live in St. Stephen’s College Residence. So, M.A. in History was a natural extension of the earlier decision to chase the dream of becoming an IAS, and in my view at that time, there was no place better than St. Stephen’s College to nurture and execute that dream.

    After my first brush with the IAS exam, coupled with the realization that after reservations in Civil Services jobs, which had been increased, I would be competing only for 50% seats, I did think about a Plan B if Plan A of getting into the IAS did not work out. Law seemed exciting, full of prospects for learning and having potential for success.

    There was also a flexibility that Law could afford a good second main subject for me at the IAS exam if I did not do well in Public Administration, which was my chosen subject for a few of the attempts I took at that exam. In sum, my gravitation towards History was more as a means towards an end as I was clear that I would not want to become a History academician.

    Similarly, my gravitation towards Law after a Masters in History was more rooted in realism, dictating the need for an alternative career plan.

     

    What difficulties did you face while starting your private practice? How did your prior experience help in this regard?

    (Amitabh worked in the litigation department of many firms such as Vaish Associates, A.S. Chandhiok & Associates, A.Y. Chitale & Associates before deciding to start his private practice.)

    At Vaish Associates, I got some exposure to Tax litigation but most of my assignments there fell under the corporate legal advisory type of work. In fact, the urge to shift from Vaish to a pure litigation outfit was driven by this quest to understand litigation better since it dawned upon me that comprehending the mechanisms for dispute resolution and justice delivery must form the bedrock of an initiation into a career in Law. This realization came to me because my ignorance about the practical connotations of litigation terms like “suit”, “writ”, “mentioning,” etc. would come into sharper relief when I would discuss my day with my flat mates, all of whom had joined litigation practices. I then had a good fortune to work with Mr. Chandhiok, where I became familiar with the fundamentals of litigation. At this chamber, the exposure was primarily in the Delhi High Court and I also assisted him in some matters at the Debt Recovery Tribunal and the District Court.

    In those days, opportunities for lawyers were not of the same breadth and order as they are today and it would become evident to young lawyers early in their careers that they would need to branch out on their own and, therefore, needed to think constantly of the path for the eventual branching out. As I thought then, this decision would involve substantial capability building in terms of gaining experience in different forums and then taking a call as to what the scope (which courts/tribunals) of the private practice could be.

    Thinking on those lines, it was my belief that I needed a stint with a lawyer in the Supreme Court of India to buttress my learning at Mr. Chandhiok’s chamber and also to reach the point of making the decision about the scope of the private practice. Atul and Suchitra Chitale were kind enough to provide me that opportunity.

    For me it was daunting, without any social roots in Delhi and being a first generation lawyer, the prospect of having to compete with scions of established families in this profession as well as other members of the fraternity whose families had been in the profession for generations in Delhi. So, another deciding point was whether to stay back in Delhi or go to practice in the Ranchi High Court, which I easily ruled out in favour of continuing in Delhi. It struck me that if I got on to the panels and got work from government bodies or public sector companies to begin with, that would give me opportunities to work on early breakthroughs. Although I had initially thought that ten years of experience would be the threshold for setting up a private practice, as luck would have it, I got on to panels of several public sector enterprises between 1998 and 1999. Owing to conflicts that my empanelment, requiring my personal time and commitment, created with my working with Atul and Suchitra, I had to take the plunge of starting a private practice earlier than I had initially thought.

    The problems I faced were when I set up my practice related to management of an enterprise; of running a business. In a way, a lawyer’s practice is an exercise in entrepreneurship, which requires a skill-set that I had not developed at all by then. As a lawyer, one needs, not only a law degree, some knowledge and experience in advising, drafting and arguing matters but lots and lots of more. The enterprise requires a set up, a business pipeline and hence business development, multiple hands and minds to collaborate, administrative help (e-mail/billing and filing systems, etc), client dealings, knowledge management, etc. The other problem that I faced was to get work from the corporations that had empanelled me; empanelment did not mean automatic flow of work to me from them as at times there were certain unsavoury dynamics involved. The biggest roadblock I experienced, even as I was learning to deal with the other issues, was six-month long strike of lawyers that began in January 2000, from which I never recovered (I went to England instead) and did not return to litigation.

     

    How and when should a young lawyer decide to begin his/her own private practice?

    Of course, each young lawyer must chart her or his own path based on their individual circumstances. I might sound conservative but my belief is that a young lawyer may do well to start on a self enterprise journey at a point of convergence between a fair degree of legal competency acquired over working with good seniors for a reasonable period of time and a decent preparedness for handling the wherewithal of a private enterprise. For some, this may take longer than others but each must identify that point of convergence on their own and it would be superfluous for me to prescribe a time frame.

     

    What type of skills should a law student strive to develop while in law school to succeed in the field of litigation?

    My primary advice would be to develop skills beyond just academic excellence. Any skill that would help in giving comfort to the client, and to the court, would help in achieving success in litigation. In my observations of some of the great litigation lawyers of our times, I would say, the skill of understanding human dynamics, the skill of observation, the skill of getting deep into the plot of a story that is the subject matter of litigation and living its characters, as perhaps in theatre; the skill of always imagining things to the last possible mile so that what one proposes is not open ended and has a resolution one way or the other. All of these will help develop an approach for thinking and building on thoughts that would be beneficial to possess as a litigator. As law students, when they do internships or summer placements, these budding young lawyers should validate their thinking approaches by observing seniors they work with or by observing other stalwarts in courts or briefing sessions.

     

    In 2000, you were offered Chevening Scholarship Placement in Morgan & Walker, Solicitors, London. Please tell us about it.

    This was the time of the six-month long strike of lawyers that began in January 2000. A mentor pointed out to an advertisement for applications for the Chevening Scholarship. At first instance, it looked way out of the league for me. The requirements were stringent; essays, statement of purpose, recommendations from legal luminaries, and an eligibility criterion that required a minimum of five years of experience – I was just making the cut on that. I heard that tens of thousands of young lawyers from across the country would apply. I did not even have a passport in 2000.

    Had it not been unusual times for me and my practice owing to the inordinate strike, I may not have thought about the scholarship at all. However, in my circumstances, it could not hurt at all to apply for it. I wrote the essays and the statement of purpose and was truly honoured that Mr. O.P. Vaish and Justice Mukul Mudgal agreed to write recommendations for me. I was one of the forty-eight people who were called for the final interview by a board that included a team from the College of Law, York, the officers of the Foreign and Commonwealth Office and Indian Legal stalwarts (in my case, it was Mr. Raian Karanjawala). I had the most disastrous interview and had no hopes of making it. Despite my pessimism, a cousin of mine who had helped me get the recommendation from Justice Mudgal insisted that I check the final list. My name was on the top of the list, perhaps because of an alphabetical arrangement.

    Once the list was finalized, the same was sent by the College of Law to all the law firms in London who had agreed to participate in the Young Indian Lawyers Programme. Given that I was in private practice, a boutique law firm on New Bond Street in London expressed the intent of having me work with them with the objective that we could augment each other’s cross border practice. I was the first to receive the offer and it meant that if I accepted the offer I would not be considered by the other law firms, including the Magic Circle firms. As I was, at that point of time, inclined to come back (this was a precondition for the scholarship) and continue my private practice, I gladly accepted the offer from Morgan and Walker that was acting in a number of arbitration and litigation matters for or connected with large corporate clients in India.

    At the end of the scholarship programme my world view had changed and I wanted to specialize in transactional legal practice. I went off to the U.S. for three months and on the recommendations of some of my batch mates from Campus Law Centre, who had done LLMs from institutions like Harvard, tried for the International Associate Programs at a few law firms in New York and Washington, D.C. but nothing materialized. I came back to India with a new found passion of joining a law firm to work on transactional matters.

     

    You also pursued a Certificate course in U.K. and EU Commercial Laws and Practice from College of Law of England and Wales, York. How useful is this course for those who wish to be enrolled as a Solicitor in England and Wales?

    The Certificate course was not meant or designed to prepare anyone for the process for enrolment as a Solicitor of England and Wales. I became eligible to be enrolled five years after completing this certificate course and my preparation for it did not draw even an iota from this course. For lawyers from India, in those days, a successful score at the Qualified Lawyers Transfer Test (QLTT) would get them the eligibility to be enrolled as a Solicitor in England and Wales. I took the QLTT conducted by BPP in London and relied upon the course materials that they provided as well as one full day of counselling a couple of days prior to the test. I have to thank my Lawyer-cum-Company Secretary wife who is strong in accountancy for thoroughly reading through all the accountancy materials, which constituted almost 50% of the test papers and coaching me for a few months.

     

    What prompted you to make shift from transactional work at Kochhar& Co. to the regulatory & compliance work of Sapient?

    (In 2004, Amitabh joined Sapient, a marketing and consulting company as Director Legal after his work experience at Kochhar & Co.)

    Kochhar & Co is a full-service law firm and in those days used to advice some of the biggest Fortune companies on investing in India and leading their transactions. My role there was more focussed on corporate transactional work although owing to my strong litigation background, I did dabble in some high profile litigation and arbitration matters.

    At Kochhar & Co, I did have a great learning experience working on complex transactions as well as participating in conferences of global legal networks across the world, an opportunity that no other firm afforded at that time. Nevertheless, after three years, stimuli to evaluate career progress came both from the internal environment as well as extraneous developments. Law firms in India were still largely one man shows or family run outfits that provided very limited scope for true partnership status as in the U.S or in England. Further, at the global conferences that I attended I met with a number of people who had moved from law firms to work as in house lawyers and in discussions with them I developed in my mind the goal to be a complete business lawyer.

    As an external legal advisor, I was offering advice but I did not know how the advice was being implemented at the client’s end and that kept compelling me to think that I was only a 50% business lawyer. As these ideas were taking root in my mind, the MNCs were also reconsidering their strategies of being completely reliant on law firms for their India operations and it occurred to them that in-house lawyers would be dedicated unlike law firms and would even end up reducing costs and building bridges within the leadership team. Such companies were also realizing that the regulatory and compliance landscape was complicated in India and even though they may have missed out on focussing on these in their initial years, they needed someone to strongly drive such a culture so that the parent company did not have unwarranted risk exposures in India.

    Sapient, having gone through management crisis in India of dire proportions, which it believed in hindsight, could have been averted if it had a strong legal leader as part of the Sapient team, was looking for a senior lawyer to join it. Sapient’s internal staffing team sourced me out and after nearly a dozen rounds of interviews, I was one of the two shortlisted candidates who had to go to the Cambridge, Mass. Headquarters of Sapient for the final interviews conducted formally as well as informally over lunch and dinner as well, for two days. They made the offer to me a few days after I returned to India and I did accept it as it was attractive. I joined as a Senior Manager and got promoted to Director.

     

    How different was the experience of working as an in-house counsel from previous work?

    Working as an in-house counsel was dramatically different from working in a law firm. In the law firm, each one of us propagated the business of the law firm, which was getting more legal matters to handle. In contrast, a company would execute on its business goals which were very different from that of a law firm and hence it was crucial to understand the role a lawyer plays in-house in furtherance of the business goals of the company as well as its vision and missions statements.

    From being a decision maker in the law firm, an in-house counsel needs to adapt to being a contributor to the decision making process of the company. In that sense it becomes a role of a facilitator of the business alongside helping the company manage risks, a role of a guide for doing business ethically and within the four corners of the law, a co-creator of solutions instead of proffering advice without having the onus or ownership to implement the same.

    I learnt that the implementation in a company of external legal advice is the more complex part of the exercise. As an in-house counsel, one has to counsel the business in the language that they understand as they couldn’t care less about the legalese and the fine principles and nuances of law that lawyers pride themselves on talking about. Business just needs discrete action items on things to be done such that their actions are legally fine.

    The implementation process requires consensus building in a diverse group, each group – business verticals as well as different support services – would have their own views, ideas and perception of things. It is crucial for an in-house lawyer to comprehensively and minutely understand the business, its nuances, its processes, work systems, ecosystems, the dynamics and nature of interactions within the ecosystem, the history, the trends, et al, in order to be able to make meaningful contributions. That is the only way for an in-house lawyer to earn the trust of the business and without such trust it is difficult to play the role of a valued business partner, which essentially is the crux of the role of an in-house counsel.

    As one of the senior-most members of the in-house legal community in India aptly said to the Yahoo India Legal Team during an interaction which I facilitated for the benefit of my team members, “an in-house counsel is a business executive with a legal qualification, not just a lawyer”.

     

    What were your responsibilities and duties at Yahoo!?

    (At Yahoo!, apart from handling regulatory, compliance and litigation matters, Amitabh was also responsible for Government Relations and was a member of Global Virtual IP Council.)

    I joined Yahoo at a time when the tremors in the Internet industry in India caused by the incarceration of the CEO of Bazee.com had not died down, and the industry was simmering. There was a crusade on to drive the law makers to consider making substantive amendments to the Information Technology Act, 2000 (“IT Act”), particularly aligning the liability of the intermediaries with international best practices. Quite naturally, as the General Counsel in India of the Internet pioneer, a company with the deepest experience and knowledge of policy and regulatory issues that the evolution of Internet industry had witnessed in different jurisdictions, it was my onus to spearhead the amendment to IT Act movement, as well as issues relating to the digital aspects under the Copyright Amendment Act, the Privacy Bill, and the like.

    I had the opportunity to depose before the Parliamentary Committee on Copyright Amendment, work closely with the Ministry of Information Technology, work with industry associations like Internet and Mobile Association of India (IAMAI), Confederation of Indian Industries (CII), Federation of Indian Chambers of Commerce (FICCI), US-India Business Council (USIBC), and work with policy firms like The Cohen Group and APCO Worldwide.

    Additionally, government relations required helping the government and its agencies understand the limitations of the Indian entity of Yahoo to get user information from Yahoo entities in other parts of the world. The broad remit of this particular aspect of my role was to promote freedom of speech and expression, resist curbs on online content, prevent illegitimate disclosure of user information and impress upon Indian law enforcement authorities the need for government to access in the right spirit, multi lateral agreements such as the Mutual Legal Assistance Treaty.

    In fact, as part of handling the public policy and government relations role at Yahoo, I was unanimously elected to be the Chair of the Government Relations Committee of IAMAI for 2013-15.

    As part of the Virtual IP Council, my role was to assist in the creation of patentable ideas in the Yahoo R&D Center in Bangalore, which had established significant leadership in contributing such ideas.

    You recently shifted to Max from Yahoo! What prompted you to take this move? Do you find work at Max filled with newer challenges or is it similar to your work at Yahoo?

    It was an extremely fulfilling journey at Yahoo of seven years plus but I had also reached a point where newer challenges in a different industry looked like the way forward for continuing to make impact, acquiring newer domain expertise, thereby broad basing my experience profile, and keeping myself excited. From that perspective, my drivers were to work at the corporate headquarters of a public company in an industry that had immense potential, had scale, and was regulated. I was also clear that the people culture and the focus on ethics and compliance had to be of the highest standards. Max Life Insurance met with all my career drivers and more.

    Max Life Insurance is a respected brand, has an outstanding reputation, is a powerhouse of talent and has set the highest benchmarks in corporate governance and ethics and compliance. It is the leading private life insurance company in India and is amongst the top four life insurance companies. It has a JV with Mitsui Sumitomo Insurance Company, is totally board driven, and is abuzz with activity where everyone is demonstrably driven towards shaping the contours of this industry for the betterment of consumers and the economy.

    It has been gratifying that under my stewardship of the Legal, Compliance and Regulatory Department, Max Life’s Legal team was adjudged by an eminent jury as the best In-house Legal Department in the Insurance industry at the Legal Era Awards, 2015.

    The work at Max Life is filled with newer challenges as compared to my work at Yahoo. The magnitude of those challenges is of a higher order since I am at the Headquarters and am also part of the Executive Management Team, which is essentially the group of people that effectively runs the company. In that regard, the expectation from me is not just providing functional leadership but much more than that, in helping the company achieve its goals.

     

    After working at a place for seven years, is it difficult to move out and settle in a different workplace? How do experienced professionals go about this?

    In a way, the assumption may have some merit. After seven years, it is not easy to move because it implies leaving behind strong relationships that one built over the years but the truth is that if relationships are strong, they transcend work space and will always bloom because of the professional connect. In my case, it was important that I chose to work with an organization that had similar professional, purpose driven values that I had developed a preference for and had been trained in at Yahoo. I did have other options but I chose Max Life because I assessed that there was a values match with me and that gave me the optimism that I will integrate and settle here very well. In sum, there will be a lot of positives that will often drive such a shift and professionals will make the decision work by being objective, earnest and thoroughly professional.

     

    Having experienced work in litigation, law firms and corporate houses, what would you say are the major differences between them? Is it easy to shift laterally between them? What has been your experience?

    This question may elicit different responses based on perspectives. In my perspective, the core in all of these ostensibly different areas of legal services is the same: professionalism based on expertise. These can be seen as a cycle feeding into one another.

    At a law firm, one advises clients and structures deals for them such that there is very little possibility of dispute but also making sure that in the event there is dispute, the same can be dealt with and resolved without becoming a permanent bottleneck for the parties involved.

    Litigation happens when a dispute happens and when that takes place; the litigating lawyer draws upon the legal documents the law firm created for facilitating the relationship that went sour.

    In a role at a corporate house, it is imperative to have the ability to weigh in on both the dimensions of a strongly and objectively documented creation of a relationship and a win-win break away in the event of a dispute on the strength of having pre-assessed what could go wrong and pre-agreed how the parties would deal with such anticipated situations.

    I believe it is possible to shift from litigation to law firm to in-house and I see quite a few examples of such lateral shifts. I regard such progression as most desirable in senior legal roles at corporate houses because of the sheer value that such lawyers can bring to the table in corporate environments. However, it is not common for lawyers who started their careers in-house to shift to litigation while there are more cases of such lawyers successfully shifting to law firms.

     

    What course of action do you follow when your juniors commit mistakes or errors? Is it possible to avoid errors completely as a lawyer? Please share your advice on this.

    Making mistakes or errors creeping in, is not unheard of. I would positively view junior colleagues making mistakes because of the immense learning value that comes from such instances. However, I believe that training and practice of lawyers should be rigorous enough so as to minimize errors.

    It has been my experience that if the team members work collaboratively and have meaningful debates and discussions on assignments they handle; the prospect of both mistakes and errors diminishes. I believe in encouraging discussions since collective outputs most often are superior to individual outputs and collective work increases the learning opportunities for all involved.

     

    Does Max Insurance offer internship opportunities to law students? What would you look for in a cover letter and a C.V.?

    Max Life currently does not have a framework for offering internship opportunities to law students but we will be open to evaluating the pros and cons of the same.

    I would look for sharpness in a cover letter and CV, something that strikes me instantaneously and suggests a bright spark!

     

    What do you think an intern should do to get noticed?

    In my view, doing something just to get noticed may be counterproductive and could have unintended consequences. On the contrary, my suggestion would be for the intern to be herself/himself. It may be a good idea to explore how one could seek better integration at the place of internship so that basis such interactions, the intern may have a recall value and may be called back for a permanent assignment.

     

    What can a law student learn by interning in an in-house legal department of a company?

    An in-house legal department of a company will surely teach the intern the value of weighing pros and cons in the decision-making process, particularly in matters involving legal, compliance or regulatory. It will also provide exposure to the intern on the need for consensus building to get approval even for the best proposals. Most importantly, it will teach the intern on how to convert legal, technical language and jargon into simple, comprehensible propositions rooted in the context of business and sprinkled with clarificatory examples and analogies.

     

    There is a surge in students wishing to pursue higher studies from abroad. Do you think higher studies are a necessity for a successful legal professional? What would be your advice to law students who plan to go for higher studies?

    I am a big fan of and believer in pursuing higher studies from abroad. I have already confessed that not being able to pursue the LL.M program at the GULC for which I was accepted is a big regret of my life. I think that understanding the legal framework of an advanced jurisdiction by spending time in that culture adds to the skills repertoire that makes one a sharper professional, affords navigability across cultures and provides extraordinary opportunities at networking and building professional bridges that can even help advance careers. Having said that, there is no gainsaying the fact that there are several extremely successful legal professionals, whether in litigation, law firms or in in-house roles who do not have such higher degrees from abroad.

    For students planning to go abroad for higher studies, I would advice that they start planning early, identify and build relationships with faculty that will give them apt recommendations, do their research early, and work hard at preparing their essays and statements of purpose. Review and vet these outputs several times before finalizing and it may even be helpful if students got these reviewed by several people in a position to guide. I would also recommend that the aim should be to go to the top law schools instead of the lesser known ones. Finally, students must chart out a plan on how to leverage such higher studies and act on such plan.

     

    What would be your advice to our readers?

    Just follow your dreams and everything else will fall into place.

    Radhika Seth completed a B. Com from Delhi University and got placed at KPMG, but having enjoyed studying a few legal subjects during under-graduation, she enrolled herself at the Campus Law Centre evening classes for the three-year law course. She participated in moots, was a part of the student body at DU and made time for numerous internships. Upon graduating, she started working at Saikrishna & Associates in the competition law department.

    How would you like to introduce yourself?

    I am a struggling lawyer who aims to be a specialist in competition law. I am currently working as an Associate with the competition law vertical at Saikrishna & Associates.

     

    When and how did you decide to study law? Which universities did you consider for your legal studies? How did you settle for LC-II, DU?

    Law really happened by chance for me, or to put it more philosophically, I feel I was destined to be a lawyer. I wanted to study commerce after school and so I took up B. Com (Hons) at Delhi University. At my under-graduate level, I studied various subjects like business management and accounting but more importantly, mercantile and company law.

    Surprisingly, I got more interested in the law related subjects than the typical commerce related subjects. It was then that I started experiencing a change of heart for law. It so happened that during my third year of B. Com(Hons), I was the first to be placed at KPMG from college and was almost convinced by everyone around me to join it, out rightly. And I did exactly that! But I also, fortunately, gave the law entrance at Delhi University for Faculty of Law during the same year to explore my interest for legal studies.

    I got a good rank to be able to opt for a college of my choice and so I chose Law Centre-II, which is the evening Centre of Faculty of Law, as it allowed me to work at KPMG and simultaneously attend classes in the evening. I pursued both Audit (at KPMG) and Law (as a student in Faculty of law) for six months. This was my transition period when I actually weighed life of an Auditor or someone working as an MBA vis-a-vis the life of a lawyer. And for me, I chose the life of a lawyer for the excitement and the rush that it brings.

    So, frankly, I didn’t consider going to any other college as for a three year law course, Faculty of law is one of the few good options available in this country apart from Government Law College, Mumbai or ILS, Pune.

     

    As a graduate of Delhi University, have you faced any comparison with the NLUs? What would you say to the future graduates of DU regarding this?

    Amongst the alumni of National Law Universities, one would generally feel a bias. They’re sometimes given preference for internships or even jobs. But in the end it’s your work which determines your worth. Of course, National Law Universities provide better opportunities in terms of better funding, infrastructure, exchange programs etc. but if you have the zeal to achieve something and the knack to learn, then no such bias would come in your way. Delhi University has its own charm and different learning opportunities. It sets you free and allows you to think out of the box. I would say, discover these opportunities and make your own way.

     

    How was your first year after graduation? How did you learn the ropes and what were the biggest challenges you faced?

    Generally, first year after graduation seems like a sea change from the college atmosphere that one is used to. For me, it wasn’t that difficult. I started working at KPMG right after B. Com (Hons) and interned all along my law school. By the time I graduated from law school, I was already aware as to what is expected out of a first year law graduate.

    I always took my internships pretty seriously and would try to intern for more than two months at one particular place. This really helped me to work on a particular case thoroughly. As a first year Associate, you’re definitely expected to be a good researcher, a swift learner, someone who is able to adapt to the work environment quickly. In my view, if you take your internships seriously, your first year of work would be the best year.

     

    You were the President of the Student Union at DU. What skills did you hone while managing such a responsibility?

    It was a life changing experience for me! I learnt a lot about people during that period. I organized various programs and events in college during that time, some of them were first-time initiatives. During the process, I interacted with all kinds of people coming from various parts of India and even the world. As a lawyer, it is very important to be able to understand your clients, your seniors and the judge. Being at the highest post a student can hold in Delhi University, made me understand the importance of going to the root of a problem or a given case. This always helps in devising better solutions to a given problem at hand.

     

    How important do you think are extra-curriculur activities in shaping the career of a law student?

    I feel these are pivotal to the development of a law student. While mooting and debating allows a budding lawyer to hone his/her public speaking skills, publications and research papers help in developing researching and reading skills. They also help in getting in-depth and out of textbook knowledge about a topic. These are some qualities which always come handy to a lawyer.

     

    How did you manage to keep up your grades? What are the tips and strategies you would like to share with mooters?

    I always chose those moots which were at least a month before or after my exams. Choosing a moot court competition which has a case problem related to your course curriculum also helps. I am also almost obsessed with pre-planning things. Making a moot calendar and preparing for the exams before-hand would obviously help.

     

    Soon after graduation, you joined Saikrishna and Associates as an Associate. How did your appointment take place? Tell us about the interview process and how did you prepare for it?

    After my graduation, I applied at various places including Saikrishna & Associates. I got interview calls from various places including Saikrishna. I gave one round of interview and was selected to work with the competition law vertical of the firm. For interview preparations, I would just brush up my memory for the core subjects of law such as constitutional law, the CPC and laws pertaining to my areas of interest which are IPR and competition law. During an interview, it’s always much easier if you be yourself, be confident of what you know and be honest in case you’re clueless about a particular question.

     

    What does your current work profile at Saikrishna and Associates consists of? How is a typical workday like?

    I am working as an Associate in the competition law vertical of the firm. My day starts by 10 am and generally doesn’t end before 8 pm. It also sometimes extends to working from home at night. As of now, I have been doing different types of tasks every day. Sometimes, it consists of drafting of an opinion for competition law compliance, giving information, defending your client at the CCI or attending client meetings etc.

    Are there new challenges everyday or has work settled into a predictable pattern?

    In fact, taking from the previous question, I would say there is no typical workday at Saikrishna for me. Almost every day I am learning something new. This is also because competition law is relatively new in India and everyone is grappling with its practical applicability to the evolving nature of business transactions.

     

    What are the primary professional ethics you follow while at work? How do you deal with mistakes or errors?

    I always try to be punctual and geared up for work. It helps me be up-to-date and meet regular deadlines. I keep my seniors informed about the progress of the work and also about any delay before-hand. Replying promptly to e-mails and being honest with your boss always helps in building a good relationship. I try to always concede and own up whenever I make mistakes or errors and I make a note of them on my pin board so that I don’t repeat it again.

     

    Would you say your undergraduate B.Com degree has been helpful in your career?

    Yes, definitely. I still believe that a three year law program is a better call to make. For e.g. in my B.Com degree, I studied about business management, planning and other tools which help in business decision making. As a competition or a corporate lawyer, it is very important to understand the rationale of a particular business decision to further comment upon its legal validity. My B.Com studies have helped me a lot in reading financial statements and understanding decision making techniques.

     

    What kind of internship applications do you think stand out positively and enjoy a much higher likelihood of being accepted?

    I think the CV should reflect some productive activities which the candidate has been doing through law school. It does not necessarily need to be all subject related, it could be some organisational experience or even extra – curricular activities. Participation in moot courts, debate competitions, definitely gives extra brownie points. One is not expected to be consistent in the types of internships, e.g. litigation or corporate, but it is necessary that the CV reflects an effort on the part of the candidate to learn new things.

     

    If you could re-live your 3 years in Law school, is there something you would do differently?

    Not really. It’s the best time of your life and I enjoyed it thoroughly. If anything, I would say I should have enjoyed it even more than I did.

    Where do you see yourself ten years down the line? Do you aspire to be like somebody from this field?

    As I said, I am struggling to be a specialist in Competition law. After ten years, I would like to introduce myself as a specialist in competition law. I like the way Justice Krishna Iyer writes his judgments and I like the swiftness with which Mr. Salve argues. It would be a great achievement for me if I am able to be even a small part of what they are.

     

    What would be your advice to students interested in competition law?

    It is an emerging law in India, very interesting and intriguing. One has a huge scope of growth in this law in India. IPR and competition law make an interesting intersection which is worth studying. Law students interested in competition law should read a lot about the emerging concerns and possibly intern with competition law verticals of firms.
